Complete Guide

ОАЕ company share capital structure — detailed guide

In-depth explanations covering ownership, jurisdiction, licensing, visas, banking, tax and compliance.

Share Capital in a ОАЕ Company: The Essential Answer

Share capital is the amount assigned to the ownership interests issued by a company. It is normally divided into shares or ownership portions held by one or more акционери.

For example, a company may have capital of AED 100,000 divided into 100 shares with a nominal value of AED 1,000 each. A founder holding 60 shares would own 60% of the company, while another holding 40 shares would own 40%, subject to the company's constitutional documents and any legally valid arrangements governing different rights.

Share capital is therefore one part of the company's financial and legal structure—not a complete representation of its funding or valuation.

  • However, the declared share capital does not necessarily indicate:
  • How much the business will spend during its first year
  • How much cash is currently held in its bank account
  • The market value of the company
  • The amount invested through shareholder loans
  • The price an investor may later pay for shares
  • The company's annual revenue
  • The акционери' personal liability in every circumstance

Why Share-Capital Structuring Matters

A poorly considered structure can create problems long after the лиценз is issued. Основатели may discover that their declared ownership does not match their intended control, that a small investor holds disproportionate blocking power or that the company cannot issue a practical number of shares to a new investor without amending its capital structure.

A carefully planned structure helps address:

The capital decision should consequently be made alongside the shareholder agreement, Меморандум за асоцииране, management arrangements and funding plan.

Registered capital is the capital recorded in the company's constitutional documents, commercial register, лиценз record or share certificate, depending on the legal form and authority.

It is calculated by multiplying the number of issued shares by their nominal value.

If the company issues 1,000 shares with a nominal value of AED 100 per share, its stated share capital is AED 100,000.

Authorised capital generally refers to the maximum amount of capital a company is permitted to issue under its constitutional framework. Whether this concept is used separately depends on the legal form, jurisdiction and applicable regulations.

Основатели should not assume every ОАЕ entity distinguishes between authorised and issued capital in the same manner.

Issued capital represents the shares actually allocated to акционери. If the company is authorised to issue a larger number of shares but has allocated only part of them, the allocated portion is its issued capital.

Many straightforward ОАЕ company structures do not require основатели to create a substantial pool of unissued shares. Future investment may instead be accommodated through a formal capital increase.

Subscribed capital is the amount акционери have agreed to take up. The relevant incorporation documents may state each shareholder's number of shares, contribution and ownership percentage.

Paid-up capital is the portion of subscribed capital that акционери have actually contributed in accordance with the applicable rules and incorporation documents.

Some власти or activities require evidence that capital has been paid. Others may permit capital to be declared without requiring a bank deposit certificate during the ordinary incorporation process.

The absence of an immediate deposit requirement should not be interpreted as permission to make an inaccurate declaration or disregard a shareholder's agreed contribution.

One of the most common formation mistakes is assuming that the capital shown on the лиценз or Меморандум за асоцииране is the company's complete startup budget.

A company may have AED 50,000 of registered capital but require AED 600,000 to finance:

Conversely, a consultancy may declare capital that satisfies its chosen authority while requiring comparatively modest operating expenditure.

The основатели should prepare two separate calculations:

Confusing these figures can result in undercapitalisation even when the incorporation documents appear complete.

Is There a Universal Minimum Share Capital for ОАЕ Companies?

No single minimum capital applies to every company established в ОАЕ.

Under the federal Commercial Companies Law framework, a limited liability company must have capital sufficient to achieve the purpose for which it is incorporated. The Cabinet may prescribe minimum capital for an LLC, while the applicable licensing authority, legal form or regulated activity may impose additional conditions.

It is therefore unsafe to rely on a general statement that "Дубай companies require no capital" or that "every ОАЕ company requires AED 50,000." Both statements can be misleading when removed from the applicable jurisdiction and activity.

  • The company's legal form
  • The licensed activity
  • Whether the business is regulated
  • The number and type of акционери
  • Investor or residence-visa requirements
  • Sector-specific security, guarantee or solvency rules

Mainland LLC Share Capital

A mainland limited liability company is commonly used for commercial, professional and industrial operations. Its capital must be suitable for its stated objects and divided among its partners as recorded in its Меморандум за асоцииране.

For many ordinary mainland LLC activities, incorporation may not involve a general requirement to produce a bank certificate proving that a fixed minimum capital has been deposited. This does not remove the need to declare capital correctly, comply with the constitutional documents or satisfy any special conditions applicable to the activity.

Certain sectors may have separate capital, financial-resource, guarantee or security-deposit requirements. Examples can include regulated financial activities, insurance, specialised transport, recruitment-related services and other activities subject to external approval.

  • Before determining the capital of a mainland company, the основатели should confirm:
  • The exact business activity
  • The correct legal form
  • Whether an external regulator is involved
  • Whether capital must be deposited
  • Whether proof of funds is required
  • Whether the activity has a minimum financial-resource condition
  • Whether the capital affects a residence or investor application
  • Whether an in-kind contribution requires valuation

Свободна зона Company Share Capital

Each Свободна зона operates under its own company regulations, incorporation procedures and activity requirements. Consequently, the minimum stated capital and evidence of payment can vary significantly.

A Свободна зона may:

For example, DMCC materials state a typical company share capital of AED 50,000, subject to the applicable company and activity requirements. Its current share-capital deposit procedure also explains how an eligible AED 50,000 deposit may be placed through the company's portal account and used for specified DMCC services.

That is a DMCC-specific example. It should not be assumed to apply to every Дубай or ОАЕ Свободна зона.

KPM Global can verify the relevant authority's current rules before incorporation so that the основатели understand both the capital stated in the documents and any deposit procedure.

The capital decision becomes more important when a business will conduct a regulated activity.

A standard low-capital company structure may be unacceptable for a regulated activity even if it would have been sufficient for a normal consulting or trading лиценз.

The company should identify the regulator and secure a reliable understanding of its financial requirements before signing leases, transferring substantial funds or finalising the ownership structure.

  • Set a minimum capital per company
  • Set a minimum value per share
  • Require a minimum contribution per shareholder
  • Apply different capital requirements to different activities
  • Require deposit evidence within a specified period
  • Permit the capital to be used after it is deposited
  • Waive proof of deposit for particular formation packages
  • Require higher capital for regulated or specialised activities
  • Regulated Businesses May Require Higher Financial Ресурси
  • A regulator may look beyond ordinary nominal share capital and assess:
  • Minimum paid-up capital
  • Liquid financial resources
  • Regulatory capital
  • Security deposits
  • Bank guarantees
  • Professional indemnity insurance
  • Solvency requirements
  • Ongoing capital adequacy
  • Source of funds
  • Financial projections
  • Shareholder financial standing

Choosing the Total Сума of Share Capital

The total should be selected after evaluating legal съответствие, commercial credibility, ownership calculations and future plans.

The following questions are useful:

Is there a mandatory minimum for the legal form or activity?

Must the capital be deposited or merely declared?

Does each shareholder have to make a minimum contribution?

Will the company need an investor or partner residence visa?

Does the intended bank or payment provider ask for capital information?

Will external investors join later?

Will the business issue many small ownership interests?

Are any assets being contributed instead of cash?

Does the capital amount reasonably fit the company's activity?

Is the business likely to require restructuring soon?

A very high declared capital should not be selected simply to make the company appear substantial. A declaration can create corporate, accounting and documentary consequences. The company should be able to explain how the capital was subscribed, paid and used.

Similarly, an unusually low amount may provide insufficient flexibility or appear inconsistent with a capital-intensive business plan.

Choosing the Number and Nominal Value of Shares

Two companies can have the same total capital while using different numbers of shares.

The economic capital is the same, but the practical flexibility differs.

However, the licensing authority may prescribe or restrict the permitted number or nominal value of shares. The structure must fit its incorporation system rather than relying only on a mathematical preference.

  • AED 100,000 divided into 100 shares of AED 1,000 each
  • AED 100,000 divided into 1,000 shares of AED 100 each
  • AED 100,000 divided into 10,000 shares of AED 10 each
  • A larger number of lower-value shares may make it easier to:
  • Express precise ownership percentages
  • Admit minority investors
  • Complete partial transfers
  • Implement founder vesting arrangements where permitted
  • Reserve shares for future stakeholders
  • Avoid fractional-share problems

How to Divide Shares Between Основатели

The division of shares should result from a documented commercial discussion. It should not automatically be based on friendship, seniority or the person who first suggested the business.

Основатели may consider:

Not every contribution is easily valued. A founder promising full-time work for three years is not necessarily making the same contribution as an investor transferring cash at incorporation. These differences can be addressed through a combination of share ownership, management remuneration, shareholder loans, performance conditions and a carefully drafted shareholder agreement.

  • Cash invested
  • Intellectual property contributed
  • Existing customers or contracts
  • Time commitment
  • Operational responsibility
  • Industry expertise
  • Personal guarantees
  • Business-development responsibility
  • Technology or proprietary systems
  • Continuing employment
  • Exposure to commercial risk

Equal Ownership: When 50/50 Can Become Difficult

A 50/50 company can be appropriate when two основатели genuinely intend equal economic ownership and equal control. However, equality can produce deadlock if the основатели disagree and neither has authority to make the decision.

A 50/50 structure should address:

Creating a 51/49 arrangement solely to avoid deadlock may not solve every problem. A holder of 49% can remain commercially significant, and some decisions may require higher approval thresholds. The proper solution involves examining voting rules and governance documents, not only adding one percentage point to one founder's holding.

A minority shareholder may hold important rights even without controlling the company.

The основатели must ensure that private arrangements are consistent with mandatory ОАЕ law and the constitutional documents registered with the authority.

A commercial agreement that conflicts with mandatory rules or the registered corporate structure may be difficult to enforce as intended. Legal drafting should be obtained where the arrangement includes sophisticated investor rights.

Ownership percentage is important, but it is not the only source of control.

The structure should distinguish between:

A person can own a majority interest but appoint another individual as the company's operational manager. Conversely, appointing a manager does not automatically make that individual a shareholder.

The Меморандум за асоцииране, management resolution, power of attorney, bank mandate and shareholder agreement should be coordinated so they do not create contradictory authority.

A cash contribution is the most straightforward method of subscribing for shares.

The company should retain evidence such as:

The funds should be recorded as equity if they represent share capital. They should not be casually booked as revenue, a director's current account or a loan.

Correct classification is important for financial statements, tax calculations, distributions, capital reductions and future due diligence.

A shareholder may propose contributing an asset rather than cash. An in-kind contribution could include equipment, vehicles, intellectual property or other property capable of being transferred to and used by the company.

  • Who legally owns the asset
  • Whether the asset can be transferred
  • The valuation date and methodology
  • Whether third-party consent is needed
  • Whether the asset is subject to finance or security
  • How it will be recorded in the company's accounts
  • Whether tax or registration consequences arise

What happens if the contribution is overvalued

A promise to provide future services should not automatically be treated as paid-up share capital. The permitted treatment depends on the law, authority and contractual structure.

Основатели commonly fund a company through both equity and shareholder loans.

Equity becomes part of the company's ownership capital. A return generally depends on dividends, capital distributions or a future sale of the shares. Repayment is not handled in the same way as an ordinary debt.

A shareholder loan is money lent to the company under an agreement. It may be repayable, carry interest and have a specified maturity, subject to its terms and applicable law.

A shareholder loan can provide flexibility, but it should not be informal. The parties should determine:

Transactions between a company and its акционери may fall within the ОАЕ's Related Party and transfer-pricing rules. The commercial terms, accounting classification and supporting documents should therefore be defensible.

A common arrangement is to register modest capital and later have a shareholder pay expenses directly. Problems arise when those payments are never classified.

Every material contribution should be documented when made. Reconstructing several years of founder payments during an audit, dispute, investment round or company sale can be costly and unreliable.

Nominal share capital does not normally equal the commercial value of a company.

A company with AED 50,000 of registered capital could later be valued at AED 5 million because of its:

An incoming investor may therefore pay more than the nominal value of the shares acquired. Depending on the transaction, the investment may involve a transfer from an existing shareholder, a new issue by the company, a share premium or another legally permitted structure.

The treatment should be planned with appropriate corporate, accounting, valuation and tax advice.

Planning for Future Investors

A company expecting external investment should avoid a share structure that becomes awkward immediately after incorporation.

Основатели should consider:

Not every venture-financing mechanism commonly used in another country will operate identically under every ОАЕ legal form or Свободна зона regulation. The documents and mechanics must be adapted to the chosen ОАЕ jurisdiction.

A ОАЕ company may be owned by another legal entity where the chosen authority and legal form permit it.

A corporate-shareholder structure can support:

The capital of the ОАЕ subsidiary and the capital of its corporate shareholder are separate. A parent company's large capital does not automatically satisfy a regulated capital requirement imposed on the ОАЕ subsidiary.

Under the ОАЕ beneficial-owner framework, a natural person who ultimately owns or controls 25% or more of a legal person's capital or voting rights may be identified as a beneficial owner. Control through other means can also be relevant.

Using several companies or nominees does not necessarily remove the obligation to identify the individual who ultimately controls the structure.

The ОАЕ company should maintain accurate:

Changes to shareholdings and beneficial-owner details must be reported and recorded within the applicable periods. This should be included in the completion process whenever shares are issued or transferred.

Shareholding can affect eligibility for particular Корпоративен данък provisions.

The Federal Tax Authority's guidance explains that share-capital ownership is generally evaluated with reference to legal ownership and, where relevant, the nominal value of different share classes. Tax Group conditions also extend beyond capital ownership and include requirements concerning voting rights and entitlement to profits and net assets.

A commercially similar arrangement can therefore produce a different tax result if the legal ownership percentage changes.

Shareholding should not be manipulated solely to claim a tax treatment. All statutory conditions, continuity periods, documentation requirements and anti-abuse provisions must be considered.

Свободна зона Tax Status Is Not Created by Share Capital

Declaring a certain amount of capital does not make a company eligible for the 0% Свободна зона Корпоративен данък rate.

A Свободна зона Person must meet the applicable conditions to be treated as a Qualifying Свободна зона Person, including conditions concerning qualifying income, adequate substance, transfer pricing, financial statements and other statutory requirements.

Share capital may support the business's commercial substance, but it does not replace these tests. A Свободна зона company is also not automatically outside the ОАЕ Корпоративен данък regime.

A shareholder receives a return from the company through legally and financially distinct mechanisms.

These can include:

Dividends generally depend on distributable profits, the appropriate approvals and accurate accounts. A return of capital may require a formal capital-reduction procedure and protection of creditors. Loan repayment requires an actual loan obligation. Management fees or salaries should relate to genuine services and be appropriately documented.

  • Dividends and Return of Capital
  • Salary or management remuneration
  • Reimbursement of genuine business expenses
  • Repayment of a shareholder loan
  • Interest under a valid loan
  • Dividends
  • Share-sale proceeds
  • Reduction or return of capital
  • Liquidation distributions
  • The company should not treat these methods as interchangeable.

Can Different Share Classes Be Used?

The availability of different share classes and the rights that can be attached to them depend on the legal form, applicable companies legislation and the selected Свободна зона's regulations.

Where permitted, different classes may address:

A standard LLC formation package may not offer the same flexibility as a specialised holding, financial-centre or investment structure. Основатели seeking preference shares or sophisticated investment rights should select the jurisdiction only after confirming that the intended rights can be legally documented and registered.

A single-shareholder company is usually straightforward because one person or corporate entity owns all issued shares.

Nevertheless, the founder should still decide:

Starting with one shareholder does not prevent a later ownership change, subject to the authority's rules and approval procedure. However, adding an investor will normally require formal documentation and updates to the corporate register and beneficial-owner records.

The incorporation documents should accurately record:

A separate shareholder agreement may also address commercially sensitive matters that are not fully covered in standard formation documents.

The parties should agree on governance before they transfer funds or commence business. Postponing these discussions until a disagreement occurs is one of the costliest mistakes основатели can make.

The structure may need to consider:

Dividing shares equally among family members may appear fair but can fragment control over time. A holding structure, family governance framework or carefully drafted transfer restrictions may provide greater continuity, subject to legal and tax advice.

A joint venture should align ownership with the parties' strategic contributions and risk.

One party may contribute capital while another provides:

The joint-venture documents should specify what happens if a party does not make its promised contribution, loses a лиценз, breaches exclusivity or stops supporting the business.

Capital percentages alone cannot address these matters. The commercial agreements, IP licences, supply contracts and governance provisions must operate together.

A bank may review the company's share capital as part of its broader assessment, but a large declared amount does not guarantee account approval.

Banks commonly consider:

The amount declared as paid-up capital should be consistent with the company's documents and accounting records. Unexplained differences between declared capital, bank funding and ownership records can create avoidable questions.

Does Share Capital Determine Visa Eligibility?

Some licensing or immigration arrangements may consider the applicant's shareholding, the value shown on a share certificate, the company's standing or other conditions when determining an investor or partner category.

The requirements can change according to:

Основатели should verify current eligibility before relying on a specific ownership percentage or capital amount for residence purposes.

A company may increase its capital when it:

The usual process may include:

A capital reduction is more sensitive because it can affect creditors and the company's financial position.

It may be proposed to:

Formal approvals, public notices, auditor involvement or creditor-protection procedures may apply. Funds should not be returned to акционери merely because the company has unused cash. A proper distinction must be maintained between dividends, loan repayments and capital reductions.

A share transfer changes ownership but does not necessarily change the company's total capital.

The transaction may require:

If an investor buys shares directly from a founder, the payment usually goes to the selling shareholder. If the company issues new shares, the investment generally enters the company. This difference should be understood before negotiations begin.

Foreign corporate documents may require notarisation, legalisation, attestation or certified translation.

  • Step-by-Step Capital-Structuring Процес

Step 1: Confirm the Business Model

Identify what the company will do, where it will operate, how it will generate revenue and what it requires to begin operations.

Step 3: Verify Mandatory Capital Conditions

Check the authority's current minimum, nominal-value and deposit requirements, as well as any sector regulator's requirements.

Step 4: Estimate Actual Funding Requirements

Prepare an operating budget separately from the registered-capital calculation.

Step 5: Identify Every Contribution

Record what each founder will contribute in cash, assets, intellectual property, work or commercial relationships.

Step 6: Decide the Ownership Percentages

Agree on the percentage each shareholder will hold and confirm how this affects voting and beneficial-owner reporting.

Step 7: Select the Number and Value of Shares

Use a division that complies with authority rules and provides reasonable flexibility for future transactions.

Step 8: Design Governance Arrangements

Determine manager authority, shareholder voting, reserved matters, bank mandates and deadlock procedures.

Step 9: Decide Between Equity and Debt Funding

Identify which amounts are share capital and which will be provided through documented shareholder loans.

Step 10: Prepare Incorporation Документи

Ensure the ownership and capital information is consistent across the application, Memorandum, register, declarations and resolutions.

Step 11: Deposit or Evidence Capital Where Required

  • Follow the applicable authority's procedure and retain proof.

Step 12: Issue and Maintain Ownership Records

Prepare share certificates and maintain accurate shareholder and beneficial-owner registers.

Step 13: Configure the Accounting Records

Post capital and loan contributions to the correct accounts and retain supporting documents.

Step 14: Review the Structure Before Future Changes

Before issuing, selling or transferring shares, assess corporate, tax, immigration, banking and regulatory implications.

Copying the capital used by another company without checking its activity or jurisdiction can produce an unsuitable result.

A company may be legally incorporated but financially unable to operate.

A percentage division does not by itself resolve authority, deadlock or exit issues.

An inflexible number of shares can complicate later investment calculations.

Indirect ownership and control must be assessed, not only the names appearing on the лиценз.

Each Свободна зона can apply its own incorporation and deposit requirements.

Informal promises to employees, advisers or business partners can become serious disputes.

The company should maintain evidence supporting subscribed and paid capital.

A sole founder may use a simple 100% ownership structure. The declared capital should comply with the selected authority, while additional working funds can be introduced and documented appropriately.

A 50/50 division may reflect equal economics, but the parties should establish a deadlock procedure, reserved matters and clear management authority.

The parties may agree that the operating founder controls management while the investor receives defined ownership and information rights. Both the constitutional documents and shareholder agreement must support the intended arrangement.

The overseas parent may own 100% of the ОАЕ company. The group should prepare a clear ownership chart, corporate resolutions and beneficial-owner information and distinguish subsidiary capital from intercompany funding.

The основатели may use a greater number of lower-nominal-value shares, where permitted, to facilitate future equity calculations. They should also confirm whether the selected jurisdiction can support the expected investor rights.

The registered capital should be considered alongside inventory purchases, customs, warehouse costs and supplier credit. The actual working-capital requirement may be substantially higher than the nominal capital.

Where the structure requires complex legal rights, investment documentation or a formal legal opinion, appropriate legal counsel should be engaged. KPM Global can coordinate the commercial, incorporation, tax and accounting aspects with the relevant professional workstream.

  • 3. Често задавани въпроси

1. What is share capital in a ОАЕ company?

Share capital is the value assigned to the ownership interests issued by a company. It is generally calculated by multiplying the number of issued shares by their nominal value. The ownership percentages derived from those shares can influence voting, profit participation, beneficial-owner reporting and future transfers.

2. Is there a minimum share capital for every ОАЕ company?

No. There is no single minimum that applies to every ОАЕ company. The requirement depends on the legal form, licensing authority, Свободна зона, activity and external regulator. An ordinary LLC and a regulated financial company may have very different requirements.

3. Does a mainland LLC have to deposit its share capital?

For many ordinary mainland LLC activities, a fixed bank-deposit certificate may not be required during formation. Special activities can have separate paid-up capital, security or financial-resource requirements. The current rule should be checked against the exact activity and authority.

4. Do all Дубай Free Zones require AED 50,000?

No. AED 50,000 is associated with certain jurisdictions and structures, including typical DMCC requirements, but it is not a universal Дубай Свободна зона rule. Other Free Zones may prescribe different amounts or different evidence-of-payment procedures.

5. Can the company use paid-up capital after incorporation?

This depends on the authority's procedure and any regulatory restrictions. Capital is generally intended for company purposes rather than being permanently frozen. However, основатели should not withdraw it improperly or treat it as personal money. DMCC, for example, provides a specific portal procedure under which an eligible capital deposit can be applied toward certain DMCC services.

6. Is share capital the same as the company's value?

No. Share capital is an accounting and legal ownership figure. Market value can be much higher or lower depending on assets, profits, customers, technology, contracts, liabilities and future prospects.

7. How many shares should a ОАЕ company issue?

There is no universally ideal number. The number should comply with the chosen authority and allow practical ownership divisions. A company expecting future investment may benefit from more shares with a lower nominal value, where permitted.

8. Should two основатели use a 50/50 structure?

They can, but they should establish a deadlock mechanism. Equal ownership without clear management and dispute-resolution rules can leave the company unable to make important decisions.

9. Can ownership percentages differ from capital contributions?

A commercial arrangement may consider cash, intellectual property, effort, customers or other contributions. However, the ownership recorded in the company documents must be legally valid, and any non-cash contribution must satisfy applicable rules. The parties should document why the agreed percentages were selected.

10. Can one shareholder contribute more money without receiving more shares?

Yes, the additional amount may potentially be structured as a shareholder loan or another properly documented contribution. Its classification must be agreed, legally valid and correctly recorded. Undocumented funding should be avoided.

11. Can a shareholder contribute equipment instead of cash?

An in-kind contribution may be possible, depending on the legal form and authority. Ownership, transferability and valuation must be established, and a formal valuation or approval may be required.

12. What is the difference between a capital contribution and a shareholder loan?

A capital contribution forms part of equity and generally does not have an ordinary repayment date. A shareholder loan creates a debt owed by the company under agreed terms. Each has different accounting, commercial, tax and repayment consequences.

13. Does a 51% shareholder control every company decision?

Not necessarily. Control depends on the applicable law, Memorandum, voting thresholds, reserved matters and management appointments. Some decisions may require a higher percentage or unanimous approval.

14. Does holding 25% make someone a beneficial owner?

A natural person who ultimately owns or controls 25% or more of the capital or voting rights may qualify as a beneficial owner under the applicable ОАЕ framework. Control through other means can also result in beneficial-owner status.

15. Can a foreign company own the shares?

Generally, a corporate shareholder may own a ОАЕ company where permitted by the chosen authority and activity. The parent must provide corporate records, resolutions, ownership information and properly legalised or attested documents where required.

16. Can share capital be increased later?

Yes, subject to the legal form and authority's amendment process. Shareholder approval, amended documents, contribution evidence, updated registers and authority fees may be required.

17. Can share capital be reduced?

Potentially, but a formal procedure is normally required. Capital reduction can affect creditors and may involve notices, approvals, amended documents and other protections. It should not be handled as a simple shareholder withdrawal.

18. Does transferring shares change the company's total capital?

Not necessarily. A transfer normally changes who owns existing shares. Issuing new shares can increase the company's capital, while a founder-to-investor sale may leave the total capital unchanged.

19. Does a higher capital amount improve bank-account approval?

It may contribute to the bank's overall view but does not guarantee approval. Banks also assess the business model, source of funds, акционери, countries involved, expected transactions, office, contracts and съответствие profile.

20. Does share capital determine Корпоративен данък?

Share capital itself does not determine the ordinary Корпоративен данък rate. However, ownership percentages can affect Tax Group eligibility, group reliefs, participation treatment and Related Party analysis. All relevant statutory conditions must be reviewed.

21. Does high share capital make a Свободна зона company eligible for 0% Корпоративен данък?

No. Qualifying Свободна зона Person status depends on specific statutory conditions. Capital alone does not create eligibility for the 0% rate.

22. Can KPM Global decide the ownership percentages for the основатели?

KPM Global can explain structural consequences and help model alternatives. The акционери must ultimately agree on their commercial ownership. Complex rights, shareholder agreements or disputes should also involve qualified legal counsel.
