Complete Guide

Can a ОАЕ employee own a company? — detailed guide

In-depth explanations covering ownership, jurisdiction, licensing, visas, banking, tax and compliance.

Can an Employee Become a Partner in an Existing Company?

Generally, yes, subject to the company's constitutional documents and the licensing authority's procedures.

A person may become a partner by:

The transaction may require:

A private agreement stating that an employee "owns" part of a business is not an adequate substitute for formal registration. If the ownership is intended to be legally effective, it should be accurately recorded through the applicable corporate process.

  • Purchasing existing shares from another shareholder
  • Receiving shares through a permitted transfer
  • Subscribing for newly issued shares
  • Joining the company during a capital increase
  • Participating in a new company from incorporation
  • Share-transfer or subscription documents
  • Approval from existing акционери
  • Съответствие with pre-emption rights
  • A shareholder resolution
  • An amended Меморандум за асоцииране
  • Licensing-authority approval
  • Updated share certificates
  • Updated shareholder and beneficial-owner registers
  • Source-of-funds information
  • Updated bank records
  • Tax and accounting treatment
  • Employer consent where independently required

Can an Employee Own a Mainland Company?

Yes, an employee can potentially own shares in a mainland LLC or another permitted mainland structure.

The application is normally submitted to the relevant emirate's economic development authority. External approval may be required for activities such as healthcare, education, engineering, recruitment, transport, financial services and other regulated professions.

The individual's existing трудова виза does not automatically prevent mainland company ownership. Nevertheless, the licensing authority may request employment-related documents or an NOC in particular circumstances.

  • A mainland company may be appropriate when the new business intends to:
  • Contract directly across the ОАЕ mainland
  • Open physical retail or commercial premises
  • Participate in suitable government or corporate opportunities
  • Conduct an activity regulated by a mainland authority
  • Recruit employees through the mainland labour and immigration systems
  • Operate without the geographic limitations associated with some Свободна зона licences

Can an Employee Own a Свободна зона Company?

Yes. A ОАЕ resident employed by another organisation can potentially establish or become a shareholder in a Свободна зона company.

Free Zones commonly offer:

An employee should not select a Свободна зона solely because its package is inexpensive. The proposed company must be able to lawfully conduct its intended activities, serve its target market and satisfy banking, tax and operational requirements.

  • Single-shareholder companies
  • Multi-shareholder companies
  • Professional or commercial licences
  • Service and consultancy activities
  • Електронна търговия structures
  • Trading activities
  • Office, flexi-desk or shared-workspace packages
  • Company-sponsored residence visas
  • The Свободна зона will apply its own rules concerning:
  • Permitted акционери
  • Required documents
  • NOCs
  • Company manager appointments
  • Residence status
  • Office facilities
  • Visa allocation
  • Share capital
  • Regulated activities
  • Work performed inside or outside the zone

Is an Employer NOC Required to Start a ОАЕ Company?

There is no single answer that applies to every company, authority, visa status and activity.

Some company-formation routes may accept an employee shareholder without an employer NOC. Others may require one, particularly when the applicant will be registered as manager or will actively work for the new entity.

An authority's willingness to issue a лиценз without an NOC does not cancel the employee's obligations to the current employer. Licensing approval and съответствие with an employment contract are separate matters.

Before applying, the employee should obtain written confirmation of the current documentation requirements from the selected licensing authority.

An employee can potentially hold shares as an investment without performing services for the company. However, if the employee begins:

ОАЕ labour rules generally require a person working for a private-sector establishment to hold the appropriate work authorisation. Federal labour legislation also requires workers not to work for others in violation of the law.

The company лиценз is issued to the business. It is not automatically a personal work permit for every shareholder.

  • An employer-issued no-objection certificate may be requested because of:
  • A licensing authority's current procedures
  • The applicant's ОАЕ residence sponsorship
  • The Свободна зона's incorporation policy
  • Appointment of the employee as company manager
  • A secondary work-permit application
  • The employee's contractual obligations
  • A government-employment policy
  • A regulated profession
  • A professional-лиценз requirement
  • A conflict-of-interest declaration
  • Ownership Does Not Automatically Authorise Work
  • This distinction is central to the entire question.
  • Meeting customers
  • Selling products or services
  • Preparing client deliverables
  • Supervising employees
  • Managing daily operations
  • Providing professional advice
  • Receiving compensation
  • Working from the company's premises
  • Signing operational contracts
  • Marketing the business
  • Performing technical or administrative duties
  • the arrangement may involve actual work.

Can the Employee Work for Both Companies?

Potentially, but the correct permit and contractual arrangements should be established.

The ОАЕ labour framework recognises different work models and permits. A part-time work permit can allow an individual to work for more than one employer when the applicable conditions and approvals are met.

The precise route depends on factors including:

A person should not assume that being a shareholder removes the need for a secondary permit.

Where the new company is in a Свободна зона, the Свободна зона's employment and immigration department should confirm the appropriate authorisation. Where mainland employment is involved, MOHRE requirements should be reviewed.

  • Whether both businesses are under MOHRE jurisdiction
  • Whether one business is located in a Свободна зона
  • The person's current work permit
  • The proposed role in the second company
  • The working hours and employment model
  • Employer approval requirements
  • The company's immigration establishment status
  • The licensing authority's policies

What Is a Part-Time Work Permit?

A part-time work permit is a recognised permit through which an establishment may employ a worker under a part-time contract.

According to MOHRE's official work-permit information, the part-time model can permit a worker to work for more than one employer after the necessary approval has been obtained.

It may be relevant where an employee:

The permit is connected to employment by the establishment. It should not be confused with the търговски лиценз held by the company or the shares held by the individual.

Current eligibility, documents and employer-consent requirements should be checked before the employee undertakes work.

  • Remains employed full-time by one business
  • Takes a defined part-time role with another business
  • Becomes operationally involved in a company they own
  • Receives remuneration for services provided to the second company

Can the Employee Be the Manager of Their Own Company?

Potentially, yes, but appointing an existing employee as manager requires closer review than passive share ownership.

A registered manager may be authorised to:

Where appropriate, another person may initially be appointed as manager while the employee remains a passive shareholder. This arrangement must reflect reality and should not be used to disguise unauthorised work.

Can the Employee Keep the Existing Трудова виза?

Company ownership does not automatically require an individual to cancel an existing employment residence visa and obtain an investor or partner visa. A shareholder may potentially remain sponsored by the current employer.

However, retaining the трудова виза does not by itself resolve the question of working for the new company.

Immigration planning should form part of the company-formation decision rather than being addressed only after the лиценз is issued.

Should the Employee Obtain an Investor or Виза за партньор?

Visa categories, eligibility conditions and terminology can differ across jurisdictions. The decision should be based on the person's genuine role rather than on whichever visa appears least expensive.

An employee should read the existing employment contract and applicable workplace policies before establishing a competing or related business.

Relevant provisions may include:

Even where no NOC is requested during учредяване на компания, an employee may still breach their employment obligations by operating an undisclosed or competing enterprise.

Written consent is particularly valuable where the new business overlaps with the employer's sector, customers, suppliers, geography or services.

ОАЕ labour legislation permits certain post-employment non-compete restrictions where an employee's work gives access to clients or business secrets and where the clause satisfies the applicable requirements.

A contractual clause should not be assumed to be enforceable merely because it uses the words "non-compete." Equally, it should not be ignored without legal review.

A new company creates higher risk where it:

Employees facing a significant restriction should obtain ОАЕ employment-law advice before investing funds or approaching the market.

A person should keep the new company completely separate from the employer's protected information and assets.

The employee should not use:

The employee may have general industry experience, but confidential information belongs to the party legally entitled to it.

Intellectual property can also create disputes. If a product, software system, brand asset or methodology is developed while the person is employed, questions may arise about who owns it. The answer can depend on the employment contract, the nature of the work, how it was created and the applicable intellectual-property law.

A conflict can exist even when the new company does not directly compete with the employer.

Examples include:

Disclosure and independent approval may be required under the employment contract, company policies or regulated-sector rules.

The person should document the nature of the interest and avoid participating in decisions where personal benefit could conflict with duties owed to the employer.

Government and public-sector employees may be subject to separate federal or local human-resources laws, internal codes and conflict-of-interest restrictions.

A government employee may need:

The exact position depends on the government entity and the rules governing the employee's appointment. Written clearance should be obtained before establishing, managing or investing in a business where required.

Additional restrictions can apply to employees working in regulated professions.

Examples may include:

The relevant regulator may control:

A търговски лиценз alone does not replace a professional practising лиценз or regulator approval.

  • Bind the company contractually
  • Deal with government власти
  • Sign banking documents
  • Hire employees
  • Enter leases
  • Represent the company in commercial dealings
  • Exercise the powers listed in the constitutional documents
  • Because these responsibilities indicate active involvement, the parties should confirm:
  • Whether the licensing authority accepts the appointment
  • Whether an employer NOC is required
  • Whether a separate work permit is needed
  • Whether the current employment contract permits it
  • Whether the businesses compete
  • Whether the role affects the employee's working hours
  • Whether the manager will receive remuneration
  • Whether the existing residence visa can remain unchanged
  • Often, yes.
  • This can be practical when the individual wishes to:
  • Retain existing employment
  • Remain covered by the employer's immigration arrangements
  • Hold shares as an investment
  • Develop a business that will become operational later
  • Avoid unnecessary visa changes during incorporation
  • The employee should also understand that the existing residence status may be affected if:
  • Employment ends
  • The current work permit is cancelled
  • The sponsor withdraws the visa
  • The employee changes jobs
  • The company requires the shareholder to obtain another immigration status
  • A secondary work authorisation cannot be arranged
  • The shareholder wants to sponsor dependants through the new company
  • Not necessarily.
  • An investor or partner residence route may be appropriate when the person intends to:
  • Leave the current employment
  • Work primarily through the new business
  • Control their own residence sponsorship
  • Sponsor eligible family members
  • Build a long-term entrepreneurial base
  • Demonstrate active commitment to the company
  • Employ staff through the new establishment
  • Keeping an трудова виза may be preferable when the person:
  • Will remain a genuine full-time employee
  • Is only a passive shareholder
  • Does not require the new company to sponsor their residence
  • Has no immediate operational role
  • Has obtained all necessary permissions for limited secondary involvement
  • Review the Employment Contract Before Incorporation
  • Outside-business restrictions
  • Secondary-employment requirements
  • Conflict-of-interest rules
  • Non-compete clauses
  • Confidentiality obligations
  • Собственост върху intellectual property
  • Non-solicitation provisions
  • Working-hours commitments
  • Duty to disclose external interests
  • Restrictions on accepting directorships
  • Use of company equipment and systems
  • Client and supplier contact rules
  • Non-Compete Clauses Require Careful Analysis
  • The restriction must be appropriately limited in matters such as:
  • Time
  • Place
  • Type of work
  • Legitimate business interest
  • Offers the same services as the employer
  • Targets the same customer base
  • Employs the employer's staff
  • Uses confidential pricing or commercial information

  • The employee influences procurement decisions involving their company
  • The employee receives commissions from suppliers
  • The employee holds an undisclosed position with a customer
  • The employee's business duties interfere with their employment
  • Special Considerations for Government Employees
  • They should not rely solely on private-sector labour rules.
  • Prior approval from the employing authority
  • A formal conflict-of-interest disclosure
  • Confirmation that the activity does not affect official duties
  • Confirmation that the company does not contract with their department
  • Restrictions on management or board appointments

Does the Employer Own Part of the New Business?

No—not merely because it sponsors the employee's residence or employs the founder.

The current employer does not automatically become a shareholder in the employee's new company. Ownership is determined by the new company's registered documents.

However, the employer may have contractual rights concerning:

These rights can materially affect whether and how the employee develops the new venture.

  • Intellectual property created during employment
  • Confidential information
  • Business opportunities arising through the employee's duties
  • Non-compete restrictions
  • Conflicts of interest
  • Outside work
  • Inventions or work product
  • Solicitation of customers and employees

Mainland or Свободна зона: Which Is Better for an Employed Founder?

The best jurisdiction depends on the planned business, not simply the founder's visa.

A mainland company may be suitable when the business will operate extensively across the ОАЕ domestic market, maintain mainland premises or conduct an activity licensed by an emirate's economic department.

The employee should compare:

A low-cost лиценз that does not support the intended transactions is not a good structure.

Can an Employee Use a Sole Establishment?

Potentially, where the person, activity and licensing authority qualify.

A sole establishment differs from an LLC because it generally does not create the same separation between the individual owner and the business. The owner may bear personal liability for the establishment's obligations.

The legal form should be chosen according to liability, ownership, commercial and regulatory needs—not merely the initial лиценз fee.

  • A Свободна зона company may be suitable when the business benefits from:
  • A particular industry ecosystem
  • Свободна зона facilities
  • Export-oriented operations
  • International service delivery
  • A specialised regulator or platform
  • A cost-effective owner-only structure
  • Activity eligibility
  • NOC requirements
  • Work-authorisation options
  • Mainland market access
  • Office requirements
  • Visa eligibility
  • Banking suitability
  • Annual renewal expenses
  • Tax position
  • Audit obligations
  • Exit and amendment costs
  • An LLC may provide a more structured framework for:
  • Separating business ownership
  • Admitting partners
  • Allocating shares
  • Establishing governance
  • Managing commercial liability
  • Bringing in future investors
  • Transferring ownership

Should the Employee Use a Nominee Shareholder?

A nominee should not be used simply to conceal ownership from an employer, licensing authority, bank, regulator or tax authority.

ОАЕ entities must comply with beneficial-ownership requirements. The individual who ultimately owns or controls the business may need to be identified even where another name appears in part of the legal structure.

The formal company records should accurately reflect the legally intended structure.

Owning a company while employed creates a new taxable-person analysis for the company.

A ОАЕ-incorporated company will generally need to consider:

The employee's salary from employment and the company's taxable income are not the same thing.

A shareholder should distinguish between:

Company money should not be treated as an unrestricted personal account.

A Свободна зона лиценз does not automatically make all company profits tax-free.

A Свободна зона company must satisfy the conditions for Qualifying Свободна зона Person status before the 0% rate can apply to Qualifying Income. Conditions concern matters such as:

Non-qualifying taxable income can be subject to the applicable Корпоративен данък treatment.

An employed founder should therefore select a Свободна зона for commercial and operational reasons, not on the assumption that any Свободна зона package eliminates tax.

The new company must assess ДДС registration independently from the founder's employment status.

Mandatory ДДС registration generally applies when taxable supplies and imports exceed AED 375,000, subject to the statutory rules. Voluntary registration may be available from AED 187,500.

The company must consider:

The founder's employment salary is not automatically treated as the company's taxable turnover.

Banks may review:

An employed founder may have a clear and credible source of funds, but inconsistencies can create questions. The business plan, лиценз activity and expected transactions should align.

KPM Global can assist with the application process but cannot guarantee a bank's decision.

  • Hidden or undocumented nominee arrangements can create serious risks involving:
  • Loss of control
  • Beneficial-owner non-съответствие
  • Banking discrepancies
  • Tax reporting
  • Shareholder disputes
  • Unenforceable promises
  • Misrepresentation
  • Source-of-funds reviews
  • Корпоративен данък Implications

  • Salary paid by the employer
  • Salary or management remuneration from the new company

  • Step-by-Step Процес for an Employee Starting a ОАЕ Company

Step 1: Define the Intended Role

Decide whether the employee will be:

This distinction influences licensing, work permits, contracts and visa planning.

  • A passive investor
  • A shareholder with voting rights
  • A registered manager
  • A director
  • A part-time worker
  • A full-time future operator

Step 2: Review Employment Restrictions

Examine the employment contract, confidentiality agreement, workplace policies and any non-compete or conflict-of-interest obligations.

Step 4: Select the Activity

Choose the activity that accurately describes what the company will do. Avoid using a broad, inexpensive activity that does not legally cover the intended services.

Step 5: Compare Mainland and Свободна зона Options

Assess market access, office needs, ownership structure, visas, work permits, tax conditions, banking suitability and renewal costs.

Step 7: Design the Ownership Arrangement

  • Who owns the company
  • Percentage held by each person
  • Share capital
  • Voting rights
  • Profit rights
  • Management powers
  • Funding responsibilities
  • Exit and transfer rules

Step 8: Confirm Work-Permit Requirements

If the employee will perform services for the business, obtain written guidance concerning the appropriate work authorisation before commencing those duties.

Step 9: Plan Residence Sponsorship

Decide whether the founder will retain the existing трудова виза or later move to an investor, partner or another eligible residence route.

Step 10: Complete Incorporation

The normal process may involve:

  • Trade-name reservation
  • Initial approval
  • Shareholder documents
  • Memorandum or Устав на дружеството
  • External approvals
  • Address or facility documents
  • Издаване на лиценз
  • Beneficial-owner declarations
  • Регистрация на establishment

Step 11: Establish Financial Controls

Open company accounting records, document capital and shareholder loans and keep personal and company expenditure separate.

Step 12: Complete Tax and Съответствие Registration

Assess Корпоративен данък, ДДС, payroll, bookkeeping, audit and other applicable obligations.

Step 13: Begin Operations Only When Authorised

The founder should not start delivering services simply because the търговски лиценз has been issued. Any required personal work authorisation should also be in place.

A business лиценз authorises the company's activity. It does not necessarily authorise every shareholder to perform work.

Non-disclosure can intensify a contractual or conflict-of-interest dispute.

The clause should be professionally assessed rather than automatically accepted or dismissed.

Customer data, equipment, email accounts, working time and confidential information should remain separate.

  • Common Mistakes Employees Make
  • Assuming a Търговски лиценз Is a Work Permit
  • Hiding the Company From the Employer
  • Ignoring the Non-Compete Clause
  • Using Employer Ресурси

Choosing a Company Package Based Only on Price

The lowest-cost package may not support the required activity, visas, banking or market access.

Revenue should normally be received and recorded by the licensed company rather than through an employee's personal bank account.

Share ownership should be correctly registered and supported by suitable corporate documents.

Operational activity may create labour, immigration and contractual exposure even if incorporation is complete.

Each type of payment has a different legal, accounting and tax character.

Qualifying Свободна зона status and Qualifying Income require a separate Корпоративен данък assessment.

Where the matter involves an employment dispute, enforceability of a non-compete provision, government-service restriction or detailed legal opinion, qualified ОАЕ legal counsel should be engaged. KPM Global can coordinate the formation, immigration, tax and accounting workstreams with the appropriate adviser.

  • 3. Често задавани въпроси

1. Can I own a ОАЕ company while working for another employer?

Generally, yes. Employment does not automatically prevent share ownership. You must still consider your employment contract, employer policies, licensing requirements, conflicts of interest and whether you need separate authorisation to work for the new company.

2. Can an employment-visa holder own 100% of a Дубай company?

Potentially, yes. An eligible individual can own 100% of many mainland and Свободна зона companies. The exact position depends on the activity, legal form, licensing authority and any sector-specific restrictions.

3. Do I need to cancel my трудова виза to become a shareholder?

Not necessarily. A person can often retain an existing employment residence visa while owning shares. Active work for the company and residence sponsorship are separate issues.

4. Do I need an NOC from my employer to open a company?

It depends. Some власти, Free Zones, regulated activities, permit processes or employment arrangements may require an NOC. Even if the licensing authority does not request one, the employment contract may require disclosure or consent.

5. Can my employer stop me from owning shares?

A general investment in an unrelated business may differ from operating a competing enterprise. The employer's rights depend on the employment contract, applicable law, conflicts of interest, confidentiality obligations and the employee's conduct.

6. Can I become a partner in an existing LLC?

Yes, subject to the company's documents, existing shareholder rights and authority approval. The transfer or new share issue should be formally registered.

7. Can I be a silent partner while employed?

Potentially, yes. A silent or passive shareholder does not ordinarily perform day-to-day work. The ownership must still be disclosed wherever legally required, including beneficial-owner and banking processes.

8. Can I work for my company after becoming a shareholder?

Ownership alone may not authorise work. If you actively provide services or manage operations, an appropriate work permit or other authorisation may be required.

9. Can I work for two employers в ОАЕ?

The ОАЕ labour framework permits work for more than one employer through authorised arrangements such as a part-time work permit, subject to the applicable conditions and approvals.

10. Can I be the manager of my company while employed elsewhere?

Potentially, but management can amount to active operational involvement. Confirm the authority's requirements, your employment contract, NOC requirements and work-permit implications.

11. Can my new company operate in the same sector as my employer?

This creates heightened risk. Non-compete, confidentiality, non-solicitation and conflict-of-interest provisions should be reviewed before incorporation or market activity begins.

12. Can I contact clients I know through my employment?

Doing so may breach confidentiality, non-solicitation, non-compete or fiduciary obligations. Obtain legal advice before approaching customers connected to your employer.

13. Can I use my salary to fund the new company?

Generally, legitimate personal savings can be used, but the source of funds should be documented. Once contributed, the money should be correctly recorded as capital, a shareholder loan or another valid category.

14. Can a government employee own a company?

Possibly, but government employees can be subject to separate public-sector rules, approval procedures and conflict-of-interest restrictions. Written clearance from the employing authority may be necessary.

15. Can a doctor, engineer or other professional own a second company?

Potentially, but regulated professionals may require approval from the relevant regulator. Professional ownership, management and practice rules must be checked separately.

16. Can my spouse or another person hold the shares for me?

Using another person to conceal beneficial ownership is unsafe. ОАЕ beneficial-owner rules may require disclosure of the natural person who ultimately owns or controls the company.

17. Does becoming a shareholder make me personally liable for company debts?

Liability depends on the legal form and conduct. An LLC generally provides limited liability subject to applicable law, while a sole establishment may expose the owner more directly. Personal guarantees and misconduct can also create liability.

18. Will my employer automatically know that I own a company?

Company ownership is recorded with relevant власти and may be disclosed through съответствие processes. A person should not base their structure on an assumption that ownership will remain hidden.

19. Can I receive dividends while on an трудова виза?

Generally, a shareholder can receive properly approved dividends. Dividends must arise from the company's lawful profits and should be distinguished from salary or payment for services.

20. Can I sponsor myself through my new company later?

Potentially, subject to the company's status, facility, immigration file, visa allocation and the applicable investor, partner or employment residence conditions.

21. Does the new company need Корпоративен данък registration?

A ОАЕ-incorporated company will generally need to assess and comply with Корпоративен данък registration and filing requirements, even where it is newly formed or located in a Свободна зона.

22. Does a Свободна зона company owned by an employee qualify for 0% tax?

Not automatically. The company must satisfy the Qualifying Свободна зона Person conditions, and the 0% rate applies only to Qualifying Income under the Корпоративен данък rules.

23. Can I open a company bank account while retaining my трудова виза?

Potentially, yes. Banks assess each application independently and may review the business model, ownership, source of funds, residence status and expected transactions. Approval is not guaranteed.

24. Should I resign before starting the business?

Not always. The answer depends on whether you will be a passive investor or active operator, the terms of your employment, any competitive overlap and the availability of suitable work authorisation.

25. What should I check before paying for a company package?

Confirm the activity, jurisdiction, NOC requirement, work-permit route, visa conditions, total renewal cost, office requirement, banking suitability, tax consequences and whether the structure supports your actual business model.
