The business activities appearing on the Lizenz define what the company is authorised to conduct.

Do not choose an activity merely because its wording appears close to the business idea. Confirm whether the activity covers how the company will earn revenue.

Unrelated or differently regulated activities may require separate licences or entities.

A first-time entrepreneur should compare the complete operating consequences of each jurisdiction.

A Freizone Lizenz should be selected for operational suitability rather than name recognition or promotional price alone.

Many Dubai companies may be fully foreign-owned, subject to the activity and applicable regulations. Nevertheless, first-time entrepreneurs should confirm the ownership conditions for the exact activity.

Will the founder be the sole shareholder?

Will an overseas company hold the shares?

Who will be the ultimate beneficial owner?

Will any shareholder require a residence visa?

The legal structure should match the ownership, liability and commercial purpose of the company.

The legal structure should not be selected by copying another entrepreneur's setup. Two businesses in the same industry may require different structures because of their ownership, contracts, funding or growth plans.

The manager is generally responsible for day-to-day operation and may be authorised to represent the company.

Is the manager's name stated in the constitutional documents?

Can the manager operate the bank account?

Can the manager sign employment contracts?

Can the manager sign commercial agreements?

Are any powers reserved for Gesellschafter?

Does the activity require a qualified or approved manager?

The powers granted in the company documents should match the intended governance arrangement.

Prepare several suitable names in case the first choice is unavailable.

Trade-name approval does not automatically provide trademark protection. If the brand is commercially important, consider a separate trademark search and registration strategy.

Some activities require approval from a sector regulator in addition to the economic Lizenz.

Determine whether approval is required before reserving premises or committing substantial funds.

Foreign documents are properly legalised or attested

Small inconsistencies in names, passport numbers or dates can delay licensing, immigration and banking applications.

If an overseas company will own the Dubai entity, additional documents may include:

Confirm these requirements early because international document processing can extend the setup timeline.

A detailed business plan is not mandatory for every ordinary Lizenz application, but it can be required by regulators, Free Zones, banks, investors and funding providers.

The plan should be realistic and consistent with the Lizenz activities and bank-account application.
