Complete Guide

VAE subsidiary versus branch office — detailed guide

In-depth explanations covering ownership, jurisdiction, licensing, visas, banking, tax and compliance.

VAE Subsidiary Versus Branch Office: The Essential Difference

A subsidiary is a company incorporated in den VAE with its own legal identity. The foreign parent holds shares or ownership interests in that company.

A branch does not normally have a separate legal personality from its overseas parent. It represents and carries on the business of the foreign company in den VAE within the scope of its Lizenz.

This creates a fundamental distinction:

The branch has no separate Gesellschafter because it belongs directly to the parent.

A branch generally cannot be sold as a separate company without restructuring or transferring its business and assets.

The Lizenz may allow both structures to perform similar business activities, but their corporate architecture is materially different.

When Is a VAE Subsidiary Usually Better?

A subsidiary is particularly useful when the VAE business will become more than a limited extension of the parent.

When Is a Branch Office Usually Better?

A branch may be appropriate where:

Professional firms, contractors, engineering companies, consultants and established international service providers may consider a branch when clients expect direct engagement with the foreign parent.

A branch should not be selected merely because it sounds simpler. It can require extensive parent-company documentation, legalisation, federal registration and continuing coordination between the branch and overseas head office.

  • The subsidiary generally contracts in its own name.
  • The branch contracts as part of the foreign parent.
  • The subsidiary has its own share capital and shareholder records.
  • The subsidiary's liabilities ordinarily belong to the subsidiary.
  • Branch liabilities can attach directly to the foreign parent.
  • A subsidiary can potentially admit new Gesellschafter.
  • A branch cannot issue shares in itself.
  • A subsidiary can be sold through a share transfer.
  • A subsidiary is often the stronger choice where the overseas group intends to:
  • Establish a permanent VAE operation
  • Separate local operating risk from the parent
  • Trade directly with VAE customers
  • Employ a substantial local team
  • Hold inventory or significant assets
  • Operate several compatible business activities
  • Bring in an investor or joint-venture partner
  • Sell or reorganise the VAE business later
  • Establish local subsidiaries or branches
  • Build a standalone VAE brand
  • Maintain independent local accounts
  • Use the VAE entity as a regional platform
  • Seek external finance
  • Develop long-term management succession
  • The parent must remain the direct contracting party
  • Customers rely on the parent's financial history or credentials
  • The VAE operation will conduct the same or closely related activity as the parent
  • The group does not need separate VAE investors
  • The parent accepts direct responsibility for VAE obligations
  • The branch will deliver projects secured by the parent
  • Maintaining one international corporate identity is commercially important
  • The group has no immediate intention to sell the VAE operation independently

Can an Overseas Company Own 100% of a VAE Subsidiary?

Yes. Investors of all nationalities can establish and fully own VAE companies, subject to the applicable activity and any sector-specific or strategic-impact conditions. A foreign parent company can therefore generally own 100% of a VAE Mainland LLC or eligible Freizone company. VAE Ministry of Economy and Tourismus

This means a subsidiary no longer needs to be rejected simply because the international group wants complete ownership.

Some regulated or strategically important activities may still carry special ownership, approval, capital, governance or management requirements. These must be checked against the exact proposed activity.

Does a Foreign-Company Branch Need a VAE National Agent?

Under the current VAE Commercial Companies Law framework, a foreign company establishing a branch is not generally required to appoint a VAE national sponsor or national agent.

The Ministry of Economy and Tourismus expressly states that foreign companies wishing to open a branch and conduct business in den VAE do not need a local national sponsor or agent. Ministry of Economy and Tourismus

This is important because many older articles, proposals and formation guides still describe a VAE national service agent as universally mandatory.

The precise requirements must still be confirmed for the activity, emirate and branch type.

  • The absence of a national-agent requirement does not eliminate:
  • Licensing-authority approval
  • Ministry registration
  • External regulatory approvals
  • Premises requirements
  • Corporate-document legalisation
  • Tax registration
  • Beneficial-owner disclosure
  • Immigration and labour procedures
  • Ongoing renewals

Mainland Subsidiary

A Mainland subsidiary is usually formed as a limited liability company through the relevant emirate's economic development authority.

It can be suitable where the company will:

The foreign parent becomes the shareholder of the VAE company. The subsidiary maintains its own corporate records, Lizenz, bank account, accounting records and tax registrations.

A Mainland branch is registered as an extension of the overseas entity.

The process commonly involves:

  • Trade throughout the VAE within its licensed scope
  • Contract directly with Mainland customers
  • Open an office, shop, showroom or warehouse
  • Import and distribute products
  • Employ staff
  • Tender for projects
  • Deliver services at customer locations
  • Expand into other emirates
  • Conduct local and international business
  • Mainland Branch of a Foreign Company
  • Initial approval for the foreign branch
  • Approval from the local licensing authority
  • Ministry of Economy and Tourismus procedures
  • Einreichung of parent-company documents
  • Appointment of a branch manager
  • Office leasing
  • External approval where required

Final licensing and federal registration

The Ministry's initial-approval service states that the approval is valid for four months to allow completion of procedures with the relevant authority. The branch cannot treat initial approval itself as permission to commence business. Foreign Company Branch Initial Approval

The Ministry also provides a registration service for foreign establishments and requires the application to be submitted within the applicable period. Register Branch of Foreign Establishment

  • Procedures and fees should be confirmed immediately before applying.

Freizone Subsidiary

A foreign parent may establish a separately incorporated company within a VAE Freizone.

This can be attractive where the business primarily:

Each Freizone has its own regulations governing:

A Freizone subsidiary remains a separate company from its foreign shareholder.

  • Conducts international transactions
  • Provides regional services
  • Trades through a logistics zone
  • Holds investments
  • Operates within a specialised industry cluster
  • Conducts qualifying Freizone activities
  • Requires a controlled initial VAE presence
  • Legal forms
  • Permitted activities
  • Share capital
  • Corporate Gesellschafter
  • Office facilities
  • Visa allocation
  • Audited financial statements
  • Share transfers
  • Branch formation
  • Renewals
  • Liquidation
  • Freizone Branch
  • Some Free Zones allow an overseas company to establish a branch.
  • A Freizone branch may suit an international company seeking:
  • A presence within a particular industry ecosystem
  • International or regional operations
  • Continuity with the foreign parent's legal identity
  • A smaller management or representative base

Freizone infrastructure

The parent remains directly connected to the branch's obligations. The group must also determine whether and how the branch can conduct business with Mainland VAE customers.

A non-resident juridical person's registered Freizone branch can have specific treatment under the VAE Körperschaftsteuer Freizone framework. The precise classification and income treatment must be reviewed rather than inferred from the commercial Lizenz alone. FTA Freizone Person Bulletin

Contracts should identify:

The parent is not automatically a party merely because it owns the subsidiary. If the customer requires parent support, it may request a guarantee, comfort letter or direct obligation.

The branch contracts as part of the foreign company. Dokumentation commonly identifies the overseas company acting through its registered VAE branch.

The parent's existence, authority and obligations are consequently central to the contract.

For customers, this can offer direct access to the international company's covenant and history. For the parent, it means VAE branch obligations may be obligations of the foreign company itself.

A properly incorporated subsidiary is generally responsible for its own debts and contractual obligations. The shareholder's exposure is ordinarily linked to its investment, subject to applicable law and the circumstances.

Because the branch is part of the overseas company, its debts, claims and contractual obligations can attach directly to the parent.

An international group entering higher-risk activities may therefore prefer a subsidiary, although insurance, contractual allocation and internal controls remain necessary.

A subsidiary can generally apply for activities permitted by its chosen authority, subject to ownership and external-approval requirements.

A branch's licensed activities normally need to correspond with the activities and corporate objects of its foreign parent. A company cannot ordinarily use a VAE branch to enter an unrelated business that the parent is not legally authorised to conduct.

The parent may need to amend its home-country objects before the branch application, or the group may choose a subsidiary instead.

All changes remain subject to applicable corporate law, authority approval and constitutional documents.

A branch does not issue shares. A third party cannot purchase 20% of the branch because the branch has no separate share capital.

This can make a branch unsuitable where a regional investor or joint-venture partner may be introduced later.

The parent exercises control as shareholder. It can appoint managers or directors in accordance with the subsidiary's legal form and constitutional documents.

The group can define:

The foreign company appoints a branch manager or authorised representative. The manager's authority is normally established through parent-company resolutions and powers of attorney.

The parent should clearly define:

An overly narrow power of attorney can obstruct routine operations. An excessively broad one can expose the parent to uncontrolled commitments.

The exact requirements depend on the authority, activity and parent's jurisdiction.

A branch application may require:

Because the branch's legal authority comes directly from the parent, the parent-document review can be more extensive than for a straightforward subsidiary.

Foreign corporate documents may need:

The process should be confirmed before documents are signed or shipped. Authorities may require recent documents or prescribe the wording of the parent-company resolution.

A resolution prepared without the necessary incorporation, manager-appointment or power-of-attorney language may need to be repeated.

Both subsidiaries and branches can be required to provide information about the natural persons who ultimately own or control the overseas group.

Under the VAE beneficial-owner framework, a natural person who directly or indirectly owns or controls 25% or more of a legal person's capital or voting rights may be treated as a beneficial owner. Control through other means can also be relevant.

The group should prepare:

A branch does not avoid beneficial-owner transparency merely because the parent is the directly registered foreign entity.

A subsidiary incorporated under VAE legislation is generally a VAE Resident Person for Körperschaftsteuer purposes.

These rates apply to taxable profit rather than gross turnover, after applying the relevant Körperschaftsteuer rules and adjustments.

A Freizone subsidiary may potentially be treated as a Qualifying Freizone Person if it meets all applicable requirements. If it qualifies, it may be subject to:

Freizone incorporation alone does not create entitlement to the 0% rate.

A VAE branch of a foreign company will generally create a VAE Permanent Establishment of the foreign parent, subject to the Körperschaftsteuer Law and any applicable double-tax treaty.

The FTA describes a fixed-place Permanent Establishment as a fixed or permanent place in den VAE through which a non-resident person wholly or partly conducts business. This can include a branch, office, place of management, factory or qualifying project site. Federal Tax Authority—Permanent Establishment

The foreign company can become subject to VAE Körperschaftsteuer on income attributable to that Permanent Establishment.

The fact that the branch is not a separate legal company does not remove VAE tax-registration, accounting or return-filing obligations.

Which Structure Has the Better Tax Treatment?

A subsidiary and a branch can both be subject to VAE Körperschaftsteuer. The outcome depends on:

A subsidiary may pay dividends to its parent. A branch may remit funds to head office because it is part of the same legal entity. The absence of a legal dividend does not, by itself, make the branch more tax-efficient.

The parent's home jurisdiction must also consider foreign-tax credits, participation exemptions, branch exemptions, controlled foreign-company rules and loss treatment.

A subsidiary may transact with the parent through:

These are generally Related Party arrangements and should follow the arm's-length principle.

A branch and head office are part of the same legal entity, but profit attribution may require analysis of internal dealings, functions, assets and risks.

The branch must determine the income and expenses properly attributable to its VAE Permanent Establishment. The applicable treaty and VAE rules may affect the methodology.

The accounting records should not simply treat every parent-company transfer as branch revenue or expenditure.

A subsidiary's tax losses belong to that VAE entity, subject to the rules governing utilisation, carry-forward and transfer.

A branch's VAE results form part of the foreign company's Permanent-Establishment tax position. Whether the overseas parent can recognise or use the branch loss in its home jurisdiction depends on that country's law and any applicable treaty.

A branch should not be selected solely because management expects early VAE losses. The group must examine recapture, exemption and foreign-tax-credit rules in the parent's jurisdiction.

A VAE-resident business generally must register when taxable supplies and imports exceed AED 375,000 over the preceding 12 months or are expected to exceed that amount in the next 30 Tage. Voluntary registration may be available above AED 187,500, subject to the conditions. Federal Tax Authority MwSt-Registrierung

The MwSt analysis should consider:

Transactions between branches, establishments and head offices can require specialised analysis depending on their locations and registration status.

A subsidiary normally applies for an account in its own name. A branch applies using the foreign parent acting through its VAE branch.

Banks may request:

A branch can benefit from the established parent's history and audited accounts. It can also face more intensive review because the bank must understand the foreign company and its cross-border operations.

A subsidiary provides a clearer standalone account structure but does not guarantee easier approval. The bank will still review the parent and ultimate owners.

A subsidiary can be funded through:

A branch does not have independent Gesellschafter. Its funding generally comes from head office, branch operations or external facilities arranged by the foreign company.

The branch should maintain clear records of:

A subsidiary may potentially borrow in its own name, although banks frequently request parent guarantees, security or financial support for a newly established entity.

A branch may rely directly on the parent's strength but can expose the parent more clearly to the debt.

The financing decision should consider:

Both licensed subsidiaries and branches can generally sponsor eligible employees after completing the relevant immigration and labour registrations.

The process may include:

Employees of a branch are engaged within the VAE establishment of the foreign company. Employees of a subsidiary are engaged by the separate VAE entity.

The group should ensure that employment documents, payroll, secondment arrangements and reporting lines reflect the correct employer.

Both structures generally require approved VAE premises appropriate to the licensed activity.

Options can include:

  • Legal Identity and Bauleistungen
  • Subsidiary
  • The subsidiary generally enters contracts in its own legal name.
  • The VAE subsidiary's full registered name
  • Legal form
  • Lizenz number
  • Registered address
  • Authorised signatory
  • Applicable law
  • Bauleistungen capacity
  • Branch
  • Parent-Company Liability
  • Liability is often the most important structural difference.
  • Subsidiary Liability
  • This separation is not absolute. The parent may still incur liability through:
  • Parent guarantees
  • Direct contractual commitments
  • Fraud or wrongful conduct
  • Misrepresentation
  • Improper intercompany dealings
  • Regulatory responsibility
  • Environmental or product obligations
  • Employment commitments
  • Financing arrangements
  • Piercing or disregarding limited liability in exceptional circumstances
  • Branch Liability
  • This may expose the foreign company's wider balance sheet to:
  • Customer claims
  • Employment disputes
  • Lease obligations
  • Supplier debts
  • Regulatory penalties
  • Product liability
  • Project losses
  • Litigation
  • Tax liabilities
  • Business-Activity Restrictions
  • This can make a branch less flexible where the VAE operation will:
  • Introduce a new service line
  • Trade different products
  • Conduct multiple regional functions
  • Operate a new e-commerce model
  • Add activities not included in the parent's constitutional documents
  • Combine management and trading activities
  • Ownership, Shares and Future Investors
  • Subsidiary
  • A subsidiary has issued ownership interests or shares. This allows the parent to:
  • Hold 100% initially
  • Transfer a minority stake
  • Create a joint venture
  • Admit a strategic investor
  • Sell the entire company
  • Reorganise ownership under another group entity
  • Increase or reduce capital
  • Implement succession planning
  • Branch
  • If an investor must join, the group may need to:
  • Incorporate a subsidiary
  • Transfer the branch's business

  • Transfer employees
  • Move assets and licences
  • Obtain customer and regulatory approvals
  • Close or retain the original branch

  • 0% on Qualifying Income
  • 9% on Taxable Income that is not Qualifying Income
  • Körperschaftsteuer Treatment of a Foreign Branch

Freizone flexi-desk where accepted

A branch does not avoid office requirements merely because its parent already has offices overseas.

The facility can affect:

A subsidiary should maintain a complete set of standalone accounting records.

These should include:

A branch should maintain records sufficient to determine its VAE assets, liabilities, revenue, expenditure and taxable profit, even if the parent consolidates branch results into its own accounts.

Audited financial statements may be required because of:

A branch should not rely solely on the parent's consolidated financial statements if separate VAE records are required.

A subsidiary may distribute dividends from available profits subject to the applicable law, constitutional documents, accounts and approvals.

A branch does not pay a legal dividend to its own parent because the branch and parent are the same legal person. Funds can potentially be remitted to head office after meeting VAE obligations and internal requirements.

The parent's jurisdiction may treat subsidiary dividends and branch remittances differently.

The group should review:

A branch may benefit from the foreign parent's:

A subsidiary may initially appear newly established, even if owned by a large international group. The parent can support it through:

The tendering authority must confirm whether parent experience can be attributed to the VAE subsidiary.

Tender requirements vary. A procuring entity may require:

A branch may be attractive where the foreign parent's experience is essential. A subsidiary may be preferable where the tender requires a separate locally incorporated company.

The target tender conditions should be reviewed before selecting the structure.

A subsidiary is frequently used for import, wholesale distribution and local product sales.

A branch may also conduct permitted trading activities where the parent's activity, Lizenz and authority approvals support them. The branch's scope should not be assumed.

The company must separately assess:

A regulator may influence or determine whether a subsidiary or branch is acceptable.

Regulated industries can include:

The regulator may impose conditions concerning:

A branch can be required where direct parent responsibility is important. In other sectors, a locally incorporated subsidiary may be preferred or mandatory.

The parent may potentially exit by:

A share sale can allow contracts, staff, assets and licences to remain within the same entity, subject to approvals and change-of-control provisions.

A branch cannot ordinarily be sold through a transfer of branch shares because none exist.

The parent may need to:

This can make the subsidiary more suitable where a future regional sale is possible.

A branch is not always directly "converted" into a subsidiary through a simple amendment.

The group may need to:

This can involve consent, documentation, fees and business interruption.

If the group expects independent VAE ownership or investment later, forming the subsidiary initially may be more efficient.

Which Structure Is Easier to Close?

Subsidiary liquidation can require:

Branch closure can require:

Because the branch belongs to the foreign parent, unresolved branch obligations can remain relevant to the parent.

A subsidiary's costs may include:

A branch's costs may include:

A branch is not automatically cheaper. Corporate documentation and federal procedures may increase its total setup cost.

The correct comparison should include initial formation, recurring Compliance, tax, restructuring and eventual exit—not only the first Lizenz invoice.

How Long Does Formation Take?

A straightforward subsidiary may be formed comparatively quickly once the corporate-shareholder documents are accepted.

A branch may take longer where it requires:

  • A Practical Decision Framework
  • Liability separation is important
  • The VAE business will operate independently
  • Investors may join
  • The business may be sold
  • Several activities are required
  • The company will hold substantial assets or inventory
  • The group wants a long-term regional platform
  • A separate local brand and balance sheet are useful
  • Direct parent contracting is essential
  • Parent credentials drive customer confidence
  • The activity mirrors the parent's existing business
  • The parent accepts direct liability
  • No separate investors are expected
  • A single international identity is important
  • The branch will remain closely controlled by head office
  • The business is regulated
  • Freizone Körperschaftsteuer treatment is expected
  • Government tenders are important
  • Intellectual property will be transferred
  • Regional treasury activities are planned
  • The parent is part of a large multinational group
  • Employees will work across several countries
  • The VAE entity will manage other subsidiaries
  • Step-by-Step Structure Selection Prozess

Step 1: Define the VAE Activities

  • Identify every product, service and revenue-generating function.

Step 2: Identify the Bauleistungen Entity

Decide whether customers should contract with the parent or a VAE company.

Step 3: Assess Liability

  • Review project, product, employment, regulatory and credit risks.

Step 4: Confirm Future Ownership Plans

  • Determine whether investors, partners or a future buyer may enter.

Step 5: Check Activity Compatibility

Confirm whether the branch can conduct the intended activities and whether they match the parent's objects.

Step 6: Compare Mainland and Freizone Options

  • Evaluate customer access, tax, premises, visas and infrastructure.

Step 7: Model the Tax Consequences

Compare subsidiary residence with branch Permanent-Establishment treatment in both the VAE and the parent's jurisdiction.

Step 8: Review Regulatory Requirements

Identify external approvals, capital, guarantees and professional qualifications.

Step 9: Prepare Corporate Dokumente

  • Determine the legalisation, translation and resolution requirements.

Step 10: Compare Full Costs

Include formation, annual Compliance, accounting, tax, audit, restructuring and exit.

Step 11: Select Governance Arrangements

Define manager authority, bank-signing rights and parent approval limits.

Step 12: Implement the Chosen Structure

Complete licensing, premises, banking, tax, immigration, accounting and operational registrations.

A branch remains part of the foreign company and can expose the parent directly.

Full foreign ownership is available for a broad range of VAE companies.

A VAE national agent is no longer generally required for a foreign-company branch.

Dokumentation, Ministry procedures, tax, accounting and exit costs also matter.

A branch and subsidiary may be treated differently by the parent's jurisdiction.

Subsidiary transactions and branch profit attribution both require support.

The future sale or closure process can materially affect the initial structural decision.

  • Common Mistakes to Avoid
  • Assuming a Branch Has Limited Liability
  • Choosing a Branch for Unrelated Activities
  • The activities generally need to correspond with those of the parent.
  • Assuming a Subsidiary Requires a VAE Shareholder
  • Relying on Outdated National-Agent Information
  • Comparing Only Lizenz Costs
  • Ignoring Startseite-Country Tax
  • Expecting a Branch to Admit Investors
  • A branch has no separate shares to issue.
  • Treating Bank Approval as Automatic
  • Both structures undergo independent bank due diligence.

  • 3. Häufig gestellte Fragen

1. What is the main difference between a VAE subsidiary and a branch?

A subsidiary is a separate VAE legal entity owned by the foreign parent. A branch is an extension of the foreign company and does not normally have a separate legal identity.

2. Which structure is generally better?

A subsidiary is often better for a permanent, independent or scalable VAE operation. A branch may be better when the foreign parent needs to contract directly and the VAE activities closely match its existing business.

3. Can a foreign company own 100% of a VAE subsidiary?

Yes. Full foreign ownership is available for a broad range of Mainland and Freizone companies, subject to activity-specific conditions.

4. Does a VAE branch require a local shareholder?

No. A branch is wholly connected to its foreign parent and does not have separate Gesellschafter.

5. Does a foreign branch need a VAE national service agent?

Under the current federal framework, a VAE national agent is not generally required for a foreign-company branch.

7. Who is responsible for branch debts?

The foreign parent can be directly responsible because the branch is part of the same legal entity.

8. Is the parent liable for a subsidiary's debts?

The subsidiary is generally responsible for its own obligations. Parent guarantees, direct commitments, misconduct and other circumstances can still create parent exposure.

9. Can a branch conduct any business activity?

Not necessarily. Its activities normally need to correspond with the parent company's registered activities and the permissions granted by the VAE Behörden.

10. Can a subsidiary conduct activities different from its parent?

Potentially, provided the activities are permitted by the VAE authority and properly licensed.

11. Can an investor acquire part of a VAE branch?

No. A branch has no separate shares. A subsidiary or another joint-venture structure would normally be required.

12. Can a VAE subsidiary be sold?

Yes, ownership can potentially be transferred through a share sale, subject to authority approval, constitutional documents and applicable law.

13. Can a branch be sold?

Not through a share transfer. Its business or assets may need to be transferred, and the branch may then be deregistered.

14. Which structure is easier to open?

A straightforward subsidiary can sometimes be more efficient because a branch may require additional parent documents and Ministry procedures. The actual timing depends on the activity and authority.

15. Is a branch cheaper than a subsidiary?

Not always. Ministry registration, document legalisation, translations and continuing Compliance can make a branch equally or more expensive.

16. Does a branch require share capital?

A branch does not issue shares like a subsidiary. Other funding, guarantee or financial requirements may still apply.

17. How is a VAE subsidiary taxed?

A VAE-incorporated subsidiary is generally a Resident Person subject to VAE Körperschaftsteuer. Freizone companies may receive specialised treatment if all qualifying conditions are met.

18. How is a VAE branch taxed?

A branch commonly creates a VAE Permanent Establishment of the foreign parent. The profits attributable to that Permanent Establishment can be subject to VAE Körperschaftsteuer.

19. Is a branch automatically more tax-efficient?

No. The result depends on VAE law, profit attribution, the applicable treaty and the parent company's home-country tax rules.

20. Do transfer-pricing rules apply?

Yes. A subsidiary's Related Party transactions and a branch's profit attribution or internal dealings can require arm's-length analysis and documentation.

21. Can both structures sponsor employees?

Generally yes, after completing the applicable labour and immigration registrations and obtaining sufficient visa capacity.

22. Can both structures open VAE bank accounts?

Yes, subject to the bank's independent approval and due-diligence process.

23. Does a branch need separate accounting records?

Yes. It should maintain sufficient VAE records to determine its financial position, transactions and taxable profit.

24. What documents does a foreign parent normally provide?

Common documents include its incorporation certificate, constitutional documents, commercial register extract, board resolution, ownership information, audited accounts and authorised-signatory documents.

25. Can a branch later become a subsidiary?

The business may be restructured into a subsidiary, but this often requires incorporating a new company and transferring contracts, assets, employees, licences and registrations.
