A common mistake is selecting a licenza package first and attempting to fit the business into it later. The correct sequence is to define what the company will do and then identify the corresponding licenza category, jurisdiction and legal structure.

Will the business sell expertise, physical goods or manufactured products?

Will it alter, assemble, process or package products?

Will it operate from an office, shop, warehouse, workshop or factory?

A professional licenza generally authorises activities in which the principal value is created through expertise, knowledge, technical ability or individual professional competence.

The activity's official classification remains decisive. A business should not assume that every service is automatically a professional activity. Some service activities may fall under commercial classifications or require a specialised permit.

Who should consider a professional licenza?

It is usually appropriate where clients pay mainly for professional time, advice, expertise or intellectual output rather than physical products.

Certain activities require the owner, manager or responsible professional to provide evidence of education, professional qualifications, industry experience or regulator approval.

These conditions are activity-specific. A general business consultant and a regulated healthcare professional, for example, will not follow the same approval route.

Not automatically. A professional licenza covering consultancy does not generally authorise the company to buy and resell physical products unless an appropriate trading activity is also approved.

A consultant who occasionally recommends third-party products may remain a service provider. A business that purchases products for resale, maintains inventory or issues invoices for goods may require a commercial activity.

The commercial substance of the transaction matters more than how the business describes itself.

An industrial business generally has more extensive requirements because its operations can affect land use, worker safety, environmental protection, fire safety, utilities and product conformity.

A commercial licenza normally permits the company to buy and sell approved goods. It does not necessarily allow the company to manufacture those goods.

A company that imports finished furniture and resells it is fundamentally a trading business. A company that cuts materials, manufactures components and assembles furniture locally is carrying out industrial activity.

Industrial establishments may require licensing at both local and federal levels, depending on their activities and circumstances. It may be possible to include several activities on one licenza when the licensing authority considers them compatible. This depends on:

Combining professional, commercial and industrial functions is more complex. A company intending to manufacture a product, sell it directly and provide consultancy may need an industrial activity plus related commercial or professional permissions. Do not assume that adding an activity is a simple administrative amendment. The new activity may change the company's approval, premises, legal-form or conformità requirements.

The best jurisdiction is therefore not determined by licenza price alone. It should reflect the intended market, customers, facilities, visas, logistics and long-term operations.

Providing advice may fall under a professional activity. Physically carrying out technical installation, maintenance or contracting work may require a different activity and operational approvals.

Developing software, providing IT consultancy, operating a technology platform and reselling third-party software may be separately classified activities.

Interior design can be a professional or design activity, while executing construction or fit-out work can require contracting activities and technical approvals.

Document what the company will sell, who will buy it and how it will be delivered. Separate consulting, trading, installation, production and after-sales functions.

Search the licensing authority's activity database and confirm the permitted scope of each proposed code. Avoid choosing a vaguely similar activity simply because it is cheaper or easier.

Establish whether the main activities fall under professional, commercial, industrial or another specialised category.

Confirm whether the proposed activities can appear on one licenza. Where they cannot, consider separate licences, branches or legal entities.

Determine whether a ministry, municipality, professional regulator or other authority must approve the business, personnel, premises or products.

Review market access, office requirements, customs arrangements, visa allocation, facility availability, renewal costs and operational restrictions.

Choose a structure consistent with the ownership model, liability position, business activity and licensing jurisdiction.

Submit suitable names that comply with the applicable naming rules and do not conflict with protected or existing names.

Initial approval generally confirms that the authority has no preliminary objection to the proposed business, subject to completion of remaining requirements.
