3. Do I need an NOC from my employer to open a company?

Not in every case, but an NOC may be required by the licensing authority, work-permit route, 雇佣合同 or regulated activity. MOHRE's published part-time permit requirements include an NOC from the current employer.

4. Can I retain my 就业签证 after opening a company?

Potentially, yes. A shareholder can sometimes remain sponsored by their employer. However, ownership, residence sponsorship and authorisation to work for the side business must be assessed separately.

5. Can I have two 阿联酋 residence visas?

A person generally maintains one active 阿联酋 residence status. Authorisation to work for another establishment is addressed through the appropriate work permit rather than holding two simultaneous residence visas.

6. Does owning a company allow me to work for it?

Not automatically. Share ownership and active work are different. If you deliver services, manage daily operations or receive employment remuneration, additional authorisation may be necessary.

7. What is a MOHRE part-time work permit?

It is a permit allowing an eligible worker to work for more than one employer under an approved part-time arrangement. The second establishment applies, and current official requirements should be checked before 提交.

8. Can I get a freelance permit while employed?

Possibly. Eligibility depends on the activity, issuing authority, current sponsorship and employer-consent requirements. Your contractual obligations continue to apply.

9. Can I start a business that competes with my employer?

This is legally and commercially risky. It may breach contractual, confidentiality, conflict-of-interest or non-compete obligations. Obtain professional legal advice before proceeding.

10. What is the maximum 阿联酋 non-compete period?

Under the 阿联酋 Labour Law, a post-employment non-compete period cannot exceed two years. Its enforceability also depends on its scope, necessity and circumstances.

11. Can I approach my employer's customers?

Doing so can create serious risks involving confidentiality, solicitation, conflicts of interest and diversion of business opportunities. A 商业执照 does not authorise misuse of employer relationships.

12. Can I use my work laptop for my side business?

This should be avoided. Use separate devices, software, email accounts and storage to protect confidentiality and establish operational separation.

13. Can I work on my side business during my lunch break?

The answer depends on workplace rules and contractual obligations. Even during a break, using employer premises, devices or confidential information can create problems. Separate the activity completely wherever possible.

14. Can I appoint a manager and remain a passive shareholder?

Yes, a properly authorised manager can run the business. However, passive ownership may still require disclosure, and the shareholder retains applicable governance, tax and 合规 responsibilities.

15. Is a 自由区 company better for a side business?

It may suit consulting, digital, international or online activities, but it is not always the best option. Customer location, activity, visas, employer consent, tax and banking should determine the choice.

16. Can I sell products online without a 执照?

Commercial online selling generally requires an appropriate business 执照 and 合规 with applicable consumer, customs, tax and product requirements.

17. Does a side business need 企业所得税登记?

A 阿联酋 company must assess its 企业所得税登记 and filing obligations. An individual freelancer becomes subject to the natural-person rules when the relevant statutory conditions are met.

18. Is my salary included in the AED 1 million natural-person 企业所得税 threshold?

No. The FTA states that wages are not considered business or business-activity income for this purpose. Turnover from the individual's 阿联酋 business activities must be considered separately.

19. Does the AED 1 million 企业所得税 threshold mean I can operate without a 执照 below that 金额?

No. Tax thresholds and commercial licensing are separate. An activity can require a 执照 even when turnover is below the 企业所得税 threshold.

20. Can the side business register for 增值税?

Yes, subject to the 增值税登记 conditions. Mandatory and voluntary 增值税 thresholds must be assessed independently from 企业所得税.

21. Can I invoice customers through my personal bank account?

Using a dedicated business account is generally more appropriate for licensed company activity. Mixing business and personal transactions can create banking, accounting and tax complications.

22. Can my employer dismiss me for operating a side business?

Potential consequences depend on the 雇佣合同, workplace rules, conduct and applicable law. Breaching confidentiality, competing improperly or working without required authorisation can create material employment risk.

23. Should I tell my employer even if an NOC is not required for incorporation?
