Complete Guide

Start a Дубай side business while employed — detailed guide

In-depth explanations covering ownership, jurisdiction, licensing, visas, banking, tax and compliance.

Can You Keep Your Трудова виза and Own a Company?

Potentially, yes. A person may remain sponsored by their employer while holding shares in another company, subject to the relevant authority's incorporation requirements and the individual's contractual obligations.

The employee should determine:

Obtaining a second residence visa is generally not the solution. A person maintains one active ОАЕ residence status at a time, while the authority to work for more than one establishment is handled through the appropriate permit and employment arrangements.

  • Whether their current residence visa will remain under the employer
  • Whether the new company requires a shareholder or инвеститорска виза
  • Whether the current sponsor must provide consent for any relevant application
  • Whether the person will work for the new company
  • Whether a separate work permit is required
  • Whether the licensing authority requests an NOC
  • Whether the side business conflicts with the person's employment

Do You Need an Employer NOC to Open a Дубай Company?

There is no reliable one-word answer for every employee, jurisdiction and business activity.

MOHRE's published service requirements for a part-time work permit include a no-objection letter from the current employer. Therefore, when an individual intends to work for a second MOHRE-registered establishment under this route, employer consent is a direct practical consideration. MOHRE part-time work-permit service

A Свободна зона may have different documentation requirements, but that does not cancel contractual duties owed to the current employer. An employee should not rely solely on a company-formation provider saying that an NOC is unnecessary without examining employment and work-authorisation issues separately.

Ignoring an internal policy can create disciplinary risk even when the side company itself is properly licensed.

Article 10 of Federal Decree-Law No. 33 of 2021 permits an employer to include a post-employment non-compete restriction where the employee's work gives them access to the employer's customers or business secrets.

A restriction must be limited in terms of:

The statutory period may not exceed two years after expiry of the employment contract. Whether a particular restriction is enforceable depends on its wording, necessity and circumstances. ОАЕ Labour Law

This does not mean an employee is free to compete during employment. Current employees ordinarily owe active contractual duties and should avoid conduct that harms their employer, diverts opportunities or creates an undisclosed conflict.

An employee planning a similar business should obtain a legal assessment before contacting the market.

A side business operating in the same industry carries the highest risk.

Potential problems include:

Even if the side business has a valid лиценз, these actions can create contractual, employment, confidentiality, intellectual-property and commercial disputes.

The safest side business is normally one that is clearly separated from the employer's market, customers, resources and business opportunities.

Protected information can include:

The employee should develop the side business independently. Employer documents should never be copied, emailed to a personal account, uploaded to an external platform or used to prepare the new company's material.

Information does not become personal property merely because the employee helped create it.

Employment and intellectual-property agreements may determine who owns materials created by an employee in connection with their role.

Potentially sensitive assets include:

A side business should use independently created assets, properly licensed software and separately maintained records. The employee should not build the venture using employer equipment or paid working time.

Where the business is based on technology or material related to the employee's job, specialist legal advice is particularly important.

The side business should be operationally separate from the employee's job.

Maintain separate business devices, email, cloud storage, accounting records, telephone numbers and communication channels.

A side venture should not interfere with the employee's ability to perform their primary role.

Risks arise when the employee:

Schedule side-business activity outside contracted working hours and maintain evidence of separation where appropriate.

A conflict can exist even when the two businesses are not direct competitors.

Examples include:

Potential conflicts should be disclosed through the employer's designated process. Written approval is preferable to an informal verbal conversation.

The ОАЕ employment framework recognises different working models, including part-time work. The MOHRE part-time work permit allows an eligible employee to work for more than one employer after the required permit is obtained.

The permit is generally applied for by the second establishment rather than informally by the employee. MOHRE's published requirements include an official job offer and a no-objection letter from the current employer, alongside other applicant and establishment documentation.

A part-time permit may be appropriate where:

The permit route should be confirmed against the person's existing employment status and the jurisdiction of the second company.

  • An employer no-objection certificate may be required because of:
  • The selected licensing authority's rules
  • The proposed activity
  • The employee's current visa or work-permit status
  • A part-time work-permit application
  • The employment contract

Свободна зона Companies and Work Authorisation

A person employed by a mainland company may own shares in a Свободна зона company, but active work for that company can still require appropriate authorisation.

Свободна зона rules differ regarding:

The employee should obtain written confirmation from the chosen Свободна зона and consider the obligations owed to the current employer.

A Свободна зона лиценз is not a general exemption from ОАЕ employment rules or private contractual restrictions.

A freelance permit may suit a professional who provides services personally under their own name rather than through a separate company.

Potential freelance activities can include:

Availability depends on the issuing authority and approved activity list.

Before applying, determine:

A freelance permit does not neutralise confidentiality or conflict-of-interest obligations.

A freelance permit may be more suitable when:

The cheapest option is not necessarily the safest. The structure should match how the business will actually operate.

A mainland company may be suitable for businesses needing broad access to customers across Дубай and the ОАЕ, subject to the licensed activity and applicable approvals.

A Свободна зона company may suit consulting, digital, international, e-commerce and specialised activities where the selected zone supports the intended model.

The decision should be based on customers, operations and long-term growth—not solely on the initial package price.

A person should not assume that an activity becomes informal merely because it is performed outside normal working hours.

Employees working in regulated professions should not rely only on a general търговски лиценз.

This may apply to:

The individual may require a professional лиценз, regulator approval, approved premises, professional indemnity insurance or permission linked to a particular facility.

Placing a side business in another person's name does not necessarily remove the employee's risk.

This arrangement can create:

The company's legal and beneficial ownership should be documented honestly.

An employee who wants passive ownership may appoint a properly authorised manager and hire employees to operate the company.

The arrangement must reflect commercial reality. A manager should not exist only on paper while the employed shareholder performs all operations.

A side-business company can apply for a corporate bank account, but approval is risk-based and never guaranteed.

Banks may examine:

The employee should not use their salary account as a substitute for proper business banking once the activity requires a separate business account.

Avoid receiving customer funds into another person's account or disguising business receipts as personal transfers.

The business should have:

Do not mix employer reimbursements, personal expenses and side-business transactions.

Reliable financial separation also helps demonstrate that the side business operates independently from the employee's job.

ОАЕ Корпоративен данък for a Company

A ОАЕ-incorporated company is generally a juridical person for Корпоративен данък purposes and must assess its registration, return-filing and payment obligations under the Корпоративен данък rules.

A small side company should not assume that low turnover or part-time operation removes all tax obligations. It may still need:

Eligibility for Small Business Relief or another treatment must be assessed against current conditions.

An individual conducting a business or business activity в ОАЕ is subject to Корпоративен данък registration requirements when total turnover from their ОАЕ business activities exceeds AED 1 million during a Gregorian calendar year.

For this purpose, wages, personal investment income and qualifying real-estate investment income are not treated as business income. Therefore, an employee's salary is not added to side-business turnover when assessing this particular threshold.

However, turnover from all business activities conducted by the individual must be considered together. FTA guidance on the taxation of natural persons

The AED 1 million threshold relates to Корпоративен данък obligations for natural persons. It should not be confused with ДДС thresholds or company-licensing requirements.

ДДС considerations may include:

Creating several licences does not necessarily allow a person to fragment one business artificially to avoid tax obligations.

Money withdrawn from the side company should be classified and recorded correctly.

Possible forms include:

The correct treatment depends on the legal entity, employment arrangement, company documents and tax position.

  • Счетоводни записи
  • A financial year
  • Taxable-income calculations
  • A Корпоративен данък return

  • ДДС Considerations
  • A side business must assess ДДС independently.

  • A Compliant Step-by-Step Setup Процес

Step 1: Define the Side Business Precisely

Identify the services or products, customers, delivery model, working hours and the owner's personal involvement.

Step 2: Review Employment Документи

Check outside-work restrictions, conflicts, non-compete obligations, confidentiality, intellectual property and approval requirements.

Step 3: Compare the Side Business With the Employer

Determine whether the businesses share customers, suppliers, products, territories, staff or confidential information.

Step 6: Select the Correct Activity

Choose the business activity that accurately reflects what the side business will do.

Step 7: Select the Structure and Jurisdiction

Compare a freelance permit, sole establishment, mainland company and Свободна зона company.

Step 8: Confirm Work Authorisation

Determine whether a MOHRE part-time permit, Свободна зона authorisation or another work arrangement is required.

Step 9: Complete Учредяване на компания

Процес the trade name, initial approval, incorporation documents, лиценз and premises requirements.

Step 10: Arrange Banking and Accounting

Open the appropriate account, establish bookkeeping and maintain supporting records.

Step 11: Register for Tax Where Required

  • Assess Корпоративен данък and ДДС registration and filing obligations.

Step 12: Maintain Operational Separation

Use separate equipment, accounts, documents, working time, customer lists and branding.

Depending on the setup route, documents may include:

  • Документи That May Be Required
  • Passport copy
  • ОАЕ residence visa
  • Emirates ID
  • Passport photograph
  • Current employment details
  • Employer NOC
  • Proposed company names
  • Business-activity description
  • Shareholder information
  • Manager details
  • Address or facility agreement
  • Professional qualifications
  • Regulatory approvals
  • Business plan
  • Source-of-funds evidence
  • Part-time job offer
  • Existing work-permit information
  • Requirements vary by authority, activity and applicant.
  • Common Mistakes to Avoid

Starting Before Obtaining the Лиценз

Accepting payment or advertising regulated services before authorisation can create licensing and consumer-protection risks.

A shareholder may still require appropriate work authorisation to deliver services personally.

Non-disclosure can increase contractual and disciplinary risk where consent or conflict disclosure is required.

Competing with an employer can create serious disputes involving customers, confidential information and business opportunities.

Customer lists, pricing, contracts and internal processes should never be taken into the side business.

Even a non-competing business can become problematic if it affects attendance or performance.

A generic consultancy лиценз does not authorise every professional, trading or regulated activity.

A small or part-time venture can still have Корпоративен данък, ДДС and record-keeping obligations.

A change in management can turn informal consent into a dispute. Important permission should be documented.

An unrelated e-commerce company may be feasible if the employee obtains the correct лиценз, works outside employment hours and does not use employer resources. Product storage, customs, ДДС and fulfilment requirements must also be addressed.

This arrangement may compete directly with the employer and could involve confidential knowledge, client overlap and professional restrictions. Contract review, employer consent and appropriate work authorisation are essential.

The developer must review intellectual-property clauses carefully. The application should be developed on personal equipment, outside working hours and without using employer code or confidential methods.

This is a high-risk scenario. Access to customer relationships, pricing and commercial strategy can create conflicts even before the employee approaches a customer.

Passive share ownership differs from operating the restaurant. The employee should disclose the interest where workplace policies require it and ensure licensed managers and workers run the establishment.

The consultant must assess whether employer consent and work authorisation are required, whether the activity competes with the employer and whether the Свободна зона лиценз permits the intended services.

  • Assuming Ownership Permits Active Work
  • Hiding the Business From the Employer
  • Selecting a Similar Activity Without Legal Review
  • Using Employer Data
  • Working During Employment Hours
  • Using an Incorrect Лиценз
  • Mixing Personal and Business Money

  • 3. Често задавани въпроси

1. Can I legally start a business в Дубай while employed?

Potentially, yes. You must consider your employment contract, conflicts of interest, employer-consent requirements, commercial лиценз and any work permit needed for your active involvement.

2. Can my employer prevent me from owning a business?

The answer depends on your contract, workplace policies, position and the proposed business. Passive ownership is different from operating a competing company, but disclosure or permission may still be required.

3. Do I need an NOC from my employer to open a company?

Not in every case, but an NOC may be required by the licensing authority, work-permit route, employment contract or regulated activity. MOHRE's published part-time permit requirements include an NOC from the current employer.

4. Can I retain my трудова виза after opening a company?

Potentially, yes. A shareholder can sometimes remain sponsored by their employer. However, ownership, residence sponsorship and authorisation to work for the side business must be assessed separately.

5. Can I have two ОАЕ residence visas?

A person generally maintains one active ОАЕ residence status. Authorisation to work for another establishment is addressed through the appropriate work permit rather than holding two simultaneous residence visas.

6. Does owning a company allow me to work for it?

Not automatically. Share ownership and active work are different. If you deliver services, manage daily operations or receive employment remuneration, additional authorisation may be necessary.

7. What is a MOHRE part-time work permit?

It is a permit allowing an eligible worker to work for more than one employer under an approved part-time arrangement. The second establishment applies, and current official requirements should be checked before submission.

8. Can I get a freelance permit while employed?

Possibly. Eligibility depends on the activity, issuing authority, current sponsorship and employer-consent requirements. Your contractual obligations continue to apply.

9. Can I start a business that competes with my employer?

This is legally and commercially risky. It may breach contractual, confidentiality, conflict-of-interest or non-compete obligations. Obtain professional legal advice before proceeding.

10. What is the maximum ОАЕ non-compete period?

Under the ОАЕ Labour Law, a post-employment non-compete period cannot exceed two years. Its enforceability also depends on its scope, necessity and circumstances.

11. Can I approach my employer's customers?

Doing so can create serious risks involving confidentiality, solicitation, conflicts of interest and diversion of business opportunities. A търговски лиценз does not authorise misuse of employer relationships.

12. Can I use my work laptop for my side business?

This should be avoided. Use separate devices, software, email accounts and storage to protect confidentiality and establish operational separation.

13. Can I work on my side business during my lunch break?

The answer depends on workplace rules and contractual obligations. Even during a break, using employer premises, devices or confidential information can create problems. Separate the activity completely wherever possible.

14. Can I appoint a manager and remain a passive shareholder?

Yes, a properly authorised manager can run the business. However, passive ownership may still require disclosure, and the shareholder retains applicable governance, tax and съответствие responsibilities.

15. Is a Свободна зона company better for a side business?

It may suit consulting, digital, international or online activities, but it is not always the best option. Customer location, activity, visas, employer consent, tax and banking should determine the choice.

16. Can I sell products online without a лиценз?

Commercial online selling generally requires an appropriate business лиценз and съответствие with applicable consumer, customs, tax and product requirements.

17. Does a side business need Корпоративен данък registration?

A ОАЕ company must assess its Корпоративен данък registration and filing obligations. An individual freelancer becomes subject to the natural-person rules when the relevant statutory conditions are met.

18. Is my salary included in the AED 1 million natural-person Корпоративен данък threshold?

No. The FTA states that wages are not considered business or business-activity income for this purpose. Turnover from the individual's ОАЕ business activities must be considered separately.

19. Does the AED 1 million Корпоративен данък threshold mean I can operate without a лиценз below that amount?

No. Tax thresholds and commercial licensing are separate. An activity can require a лиценз even when turnover is below the Корпоративен данък threshold.

20. Can the side business register for ДДС?

Yes, subject to the ДДС registration conditions. Mandatory and voluntary ДДС thresholds must be assessed independently from Корпоративен данък.

21. Can I invoice customers through my personal bank account?

Using a dedicated business account is generally more appropriate for licensed company activity. Mixing business and personal transactions can create banking, accounting and tax complications.

22. Can my employer dismiss me for operating a side business?

Potential consequences depend on the employment contract, workplace rules, conduct and applicable law. Breaching confidentiality, competing improperly or working without required authorisation can create material employment risk.

23. Should I tell my employer even if an NOC is not required for incorporation?

Disclosure may still be appropriate or contractually required where the activity creates a possible conflict, involves outside work or is governed by internal policy.

24. What is the safest type of side business?

A business unrelated to the employer's activities, customers and confidential information generally presents lower employment risk. It must still be properly licensed and operated outside employment hours.

25. How can KPM Global assist?

KPM Global can help assess the proposed activity, compare company and freelance structures, coordinate licensing, and establish banking, tax and accounting arrangements. Contractual employment disputes should be referred to qualified legal counsel.
