Complete Guide

UEA dual licensing — detailed guide

In-depth explanations covering ownership, jurisdiction, licensing, visas, banking, tax and compliance.

What Is Dual Licensing di UEA?

Dual licensing is an arrangement through which a company registered in a UEA free zone receives additional authorisation to conduct specified activities outside that free zone.

The company retains its original free zone registration while obtaining a mainland lisensi, branch lisensi or activity-specific permit from the relevant mainland authority. The legal structure and permitted scope depend on the programme being used.

Dual licensing does not necessarily mean that two separate companies are created. In many cases, the mainland authorisation is connected to the existing free zone legal entity. A licensed branch generally does not have a legal personality independent of its parent free zone company.

The term "dual lisensi" is often used broadly in the market, but several legally different arrangements may be involved:

It is therefore important to identify the exact authorisation being offered instead of relying only on the label "dual lisensi."

  • A mainland branch with premises outside the free zone
  • A mainland branch operating from the free zone
  • A temporary permit for specified mainland activities
  • An emirate-specific dual lisensi
  • A sector- or free-zone-specific cooperation programme
  • A separate mainland subsidiary owned by the free zone company

Can a Free Zone Company Legally Operate in the Mainland?

Yes, an eligible free zone company may legally operate in the mainland when it obtains the lisensi, permit or other approval required by the competent mainland authority.

A standard free zone lisensi primarily authorises the company to operate within the scope of the issuing free zone. It should not be assumed that the lisensi alone permits the company to establish mainland premises, perform regulated work at mainland locations, open a retail outlet or undertake every form of direct local trading.

The appropriate route may include:

The right solution depends heavily on the business model. A consultancy performing short-term projects may need a different structure from a retailer, construction contractor, medical provider or goods importer.

  • Obtaining a temporary mainland operating permit
  • Licensing a branch in the mainland
  • Licensing a branch that operates from the free zone
  • Working through an authorised mainland distributor or agent
  • Establishing a separate mainland company
  • Obtaining an activity-specific professional or regulatory approval

Is There One Dual Lisensi for the Entire UEA?

No. The UEA does not have one universal mainland permit that automatically authorises a free zone company to operate in every emirate.

Economic licensing is administered through the competent otoritas of the respective emirates, alongside the relevant free zone authority and any federal or local sector regulator.

A permit issued by Dubai's Departemen Ekonomi dan Pariwisata concerns activities conducted outside Dubai free zones but within the Emirate of Dubai. If the company intends to establish permanent operations in Abu Dhabi, Sharjah or another emirate, it may need authorisation from the competent authority in that jurisdiction.

This distinction is especially important for companies with clients across the UEA. Serving a customer in another emirate does not always mean that the company has established a regulated operational presence there. However, opening premises, assigning staff permanently, operating a shop or facility, or performing an activity requiring local supervision can trigger additional licensing requirements.

Dubai Executive Council Resolution No. 11 of 2025 created a formal framework for establishments registered di Dubai free zones that want to perform activities outside their free zones and within Dubai.

The Resolution does not apply to financial establishments licensed to operate in the Dubai International Financial Centre. DIFC entities and regulated financial businesses are governed by separate rules and should obtain specialised advice before undertaking activities outside their licensed jurisdiction.

Under the Resolution, the Dubai Departemen Ekonomi dan Pariwisata may authorise an eligible free zone establishment through one of three routes:

Each route has a different purpose, validity period, cost and operational effect.

A free zone company may apply to establish a branch with a physical location in mainland Dubai.

The branch is legally connected to the free zone parent company. Under the Dubai Resolution, it does not have a separate legal personality and is not considered independent from its parent.

Eligibility generally requires:

Premises-related costs, tenancy registration, external approvals and ordinary licensing charges may apply depending on the activity and location.

Dubai's framework also permits DET to issue a branch lisensi that allows the free zone establishment to conduct approved mainland activities while operating from its existing free zone location.

This may be attractive to businesses that require ongoing mainland access but do not need a second physical office.

The official Resolution prescribes an annual fee of AED 10,000 for issuing or renewing this type of branch lisensi. This amount should not be treated as the entire cost of the arrangement. The company may also incur free zone approval fees, documentation costs, activity charges, external-approval costs and professional fees.

The application may require:

The licensed activities must remain within the scope approved by the otoritas. The branch cannot use its mainland authorisation to undertake unrelated activities.

  • Dubai's Free Zone-to-Mainland Framework
  • A lisensi to establish a branch within mainland Dubai
  • A lisensi for a branch operating from the free zone
  • A temporary permit to conduct specified activities within Dubai
  • Option One: A Branch Located in Mainland Dubai
  • This option can be suitable where the business needs:
  • A permanent mainland office
  • A customer-facing location
  • Operational premises outside the free zone
  • A long-term mainland presence
  • Activity-specific premises or inspections
  • A defined local establishment for contracts or projects
  • An application submitted to DET
  • Prior approval from the free zone licensing authority
  • A valid free zone lisensi
  • Approval from relevant sector regulators, where required
  • A branch location within Dubai
  • Payment of the applicable fees
  • Satisfaction of any additional DET conditions
  • Option Two: A Branch Operating From the Free Zone
  • The free zone company's memorandum of association
  • A copy of its valid free zone lisensi perdagangan
  • The manager's passport
  • The manager's Emirates ID
  • Approval from the free zone authority
  • Approval from relevant government regulators, where applicable
  • Additional information requested by DET

Option Three: A Temporary Mainland Operating Permit

An eligible Dubai free zone company may apply for a temporary permit to undertake specified activities within mainland Dubai.

Under Executive Council Resolution No. 11 of 2025, the temporary permit may be valid for a period not exceeding six months. The official fee for issuing or renewing the permit is AED 5,000.

Dubai subsequently launched the Free Zone Mainland Operating Permit framework in cooperation with the Dubai Free Zone Council. Eligible companies holding a Dubai Unified Lisensi can apply through the Invest di Dubai platform.

The actual activity list and applicant eligibility must be checked at the time of application. The inclusion of a general activity category does not guarantee that every activity within that category will qualify.

Businesses requiring permanent premises or continuous mainland operations may find a branch lisensi more appropriate.

Abu Dhabi also offers an official Dual Lisensi through the Abu Dhabi Department of Economic Development.

ADDED describes this lisensi as allowing establishments registered in Abu Dhabi free zones to conduct their activities and manage their businesses outside the free zone.

The programme can help qualifying companies access the Abu Dhabi mainland while retaining their free zone presence. However, the exact permitted activities, required approvals, premises position and supporting documents must be confirmed through ADDED and the applicable free zone.

The availability of a Dual Lisensi in Abu Dhabi does not mean that a Dubai, Sharjah or other non-Abu Dhabi free zone company automatically qualifies for the same route. Eligibility is connected to the issuing authority's rules.

Which Free Zone Companies May Qualify?

A company should obtain confirmation from both the free zone authority and the mainland licensing authority before making contractual or operational commitments.

Are All Business Activities Eligible?

No. Dual licensing does not automatically cover every business activity.

The competent mainland authority determines which activities may be performed under a temporary permit, branch lisensi or other form of authorisation. Some activities are non-regulated and relatively straightforward, while others require approvals from specialist regulators.

Activities that may require additional review include:

The business activity on the mainland authorisation should align with the company's free zone lisensi and constitutional documents. If the proposed mainland activity is materially different, the company may first need to amend its free zone lisensi.

  • The initial phase has focused on non-regulated activities, including areas such as:
  • Technology
  • Consultancy
  • Design
  • Professional services
  • Trading
  • A temporary permit may suit a company that wants to:
  • Test demand in mainland Dubai
  • Undertake a defined local project
  • Participate in eligible procurement opportunities
  • Serve clients at mainland locations
  • Explore expansion before establishing a permanent branch
  • Enter domestic supply chains on a controlled basis
  • Abu Dhabi's Dual Lisensi
  • Eligibility is assessed according to the applicable programme. Relevant factors can include:
  • The emirate in which the free zone is located
  • Whether the free zone participates in the mainland-licensing framework
  • The company's legal form
  • The validity of its free zone lisensi
  • The activities stated on that lisensi
  • Whether the mainland authority recognises corresponding activities
  • Whether the company has a Dubai Unified Lisensi
  • Whether the proposed activity is included in the eligible activity list
  • Whether regulatory or professional approvals are required
  • Whether the company has unresolved kepatuhan violations
  • Whether its constitutional documents permit the proposed operation
  • Kesehatan and medical services
  • Pendidikan dan pelatihan
  • Engineering consultancy
  • Construction and contracting
  • Real-estate brokerage
  • Layanan hukum
  • Audit and regulated accounting services
  • Layanan keuangan
  • Asuransi
  • Virtual-asset activities
  • Produksi makanan or sale
  • Layanan keamanan
  • Transportasi
  • Pariwisata
  • Rekrutmen
  • Telekomunikasi
  • Pharmaceutical trading

Can the Company Trade Goods in Mainland Dubai?

Potentially, yes. Dubai's Free Zone Mainland Operating Permit was introduced with domestic trading among its intended commercial uses. Nevertheless, trading goods raises additional issues beyond the business permit itself.

A company may need to consider:

A mainland operating permit should not be treated as a substitute for customs clearance or product approval.

Dubai Customs states that a lisensi holder involved in customs activities must obtain a Customs Business Code and submit the appropriate declaration for the relevant movement of goods.

  • Whether its specific trading activity is eligible
  • Customs registration and a Customs Business Code
  • Import documentation
  • Product registration
  • Product conformity requirements
  • Customs duties
  • Import PPN (VAT)
  • Storage and warehousing permissions
  • Municipality approvals
  • Labelling standards
  • Consumer-protection requirements
  • Approval for restricted goods
  • E-commerce and payment arrangements

Does Dual Licensing Allow Retail Operations?

It can, but only when the relevant retail activity and premises are specifically authorised.

Operating a physical shop, showroom, food outlet, clinic or customer-service centre can require more than general permission to work with mainland clients. Premises may need to satisfy:

Where a permanent retail location is required, a mainland branch with approved premises may be more suitable than a temporary activity permit.

  • Commercial-use requirements
  • Tenancy and Ejari rules
  • Municipality planning conditions
  • Civil Defence requirements
  • Signage approvals
  • Health and safety standards
  • Sector-specific inspections
  • Accessibility requirements
  • Facility classification rules

Can a Dual-Licensed Company Bid for Government Contracts?

Dubai's Free Zone Mainland Operating Permit was introduced partly to expand access to government tenders and domestic contracts. An eligible permit may therefore help a free zone company participate in procurement opportunities that require mainland operating authority.

However, the permit does not guarantee tender eligibility or contract award. Each purchasing body may impose separate requirements relating to:

The company should review the tender documents before choosing a licensing route.

  • Supplier registration
  • Local establishment
  • Activity classification
  • Financial standing
  • Technical experience
  • Asuransi
  • Performance guarantees
  • Tax registration
  • Audited financial statements
  • Emiratisation or local-value criteria
  • Industry-specific certification

Can Existing Free Zone Employees Work on Mainland Projects?

Under Dubai Executive Council Resolution No. 11 of 2025, an establishment authorised under the framework may engage its existing workforce registered through the free zone portal and continue benefiting from the applicable free zone employment privileges.

This is a useful feature of the Dubai framework because it may avoid the need to create an entirely separate workforce merely to undertake approved mainland activities.

It does not remove the company's other responsibilities. The employer must continue to comply with applicable employment, immigration, health and safety, insurance, site-access and professional-qualification requirements.

Certain projects or regulated premises may require additional employee permits, professional cards or site approvals.

  • Dokumen Commonly Required
  • Requirements vary, but a mainland permit or dual-licensing application may involve:
  • Company documents
  • Valid free zone lisensi perdagangan
  • Sertifikat pendirian or registration
  • Memorandum and articles of association
  • Certificate of incumbency, where applicable
  • Shareholder register
  • Informasi ultimate beneficial-owner
  • Dubai Unified Lisensi details, where required
  • Pajak badan registration details
  • PPN (VAT) registration certificate, where applicable
  • Shareholder and manager documents
  • Passport copies
  • Emirates ID copies for UEA residents
  • Residence visa copies
  • Spesimen tanda tangan
  • Penunjukan manajer resolution
  • Contact and address information
  • Approval documents
  • No-objection certificate from the free zone authority
  • Free zone authority approval
  • Persetujuan regulator eksternal
  • Professional qualification certificates
  • Product or facility approvals
  • Board resolution approving the branch or permit
  • Power of attorney, where an authorised representative applies
  • Premises documents
  • Where mainland premises are required, the company may also need:
  • Tenancy contract
  • Ejari registration
  • Location plan
  • Landlord documentation
  • Facility drawings
  • Municipality approval
  • Civil Defence approval
  • Inspection reports
  • Step-by-Step Dual-Licensing Proses

Step 1: Define the Mainland Activity

"Operating on the mainland" is too broad for licensing purposes. The application should clarify whether the company will provide consultancy, trade goods, open premises, perform project work, participate in tenders or establish a permanent branch.

  • Identify exactly what the company intends to do outside the free zone.

Step 2: Confirm the Relevant Jurisdiction

Determine where the activities will physically and commercially take place.

A Dubai permit concerns activities within Dubai. Operations in another emirate may require authorisation from that emirate's competent authority.

Step 3: Review the Existing Free Zone Lisensi

Check whether the proposed mainland activity is already included in the free zone lisensi and constitutional documents.

If the activities do not align, an amendment may be necessary before applying for mainland authorisation.

Step 4: Check the Eligible Activity List

Confirm whether the activity qualifies for:

Do not assume that a general category such as "consultancy" or "trading" includes every activity within that category.

  • A temporary permit
  • A branch operating from the free zone
  • A mainland branch with premises
  • An emirate-specific Dual Lisensi

Step 5: Obtain Free Zone Approval

Apply for the required approval or no-objection certificate from the free zone licensing authority.

The free zone may review the company's lisensi status, kepatuhan record, facilities, proposed activity and constitutional documents.

Step 6: Secure External Approvals

If the activity is regulated, obtain the necessary approvals from the competent regulator.

The mainland authority may not issue the final lisensi or permit until these approvals are available.

Step 7: Select the Appropriate Licensing Route

Choose between a temporary permit and a branch lisensi based on the operational model.

A temporary permit may suit limited or trial operations. A branch lisensi may be better for permanent activity, ongoing contracts or premises-based operations.

Step 8: Prepare the Application Dokumen

Compile the company, manager, shareholder and approval documents. Ensure names, lisensi numbers, activities and ownership information are consistent across all records.

Step 9: Submit the Application

Eligible Dubai applicants may use the Invest di Dubai platform. Other applications may be submitted through the competent economic department or its service channels.

Step 10: Pay the Applicable Fees

Pay the authority fees and any additional charges imposed by the free zone, regulator or service provider.

Step 11: Receive and Review the Authorisation

Check the issued document carefully, including:

  • Approved activities
  • Permitted location
  • Validity period
  • Conditions
  • Renewal date
  • Regulatory restrictions
  • Premises limitations

Step 12: Establish Accounting and Kepatuhan Controls

Create separate records for mainland activities where required. Update invoicing, contracts, tax coding and internal approval processes before beginning operations.

How Much Does a Mainland Permit Cost?

AED 10,000 per year for issuing or renewing a branch lisensi operating from the free zone

These figures relate to the specified DET authorisations. They may not represent the complete cost of becoming operational.

Additional expenses can include:

The fee for a conventional branch with physical mainland premises depends on the applicable licensing and premises requirements.

CTA: Request a tailored cost assessment based on your free zone, activities and intended mainland operations.

How Long Does the Application Take?

The timeline depends on:

A straightforward application for an eligible non-regulated activity may be processed more efficiently than a branch requiring premises, regulatory approval or technical inspection. Companies should avoid committing to a project start date until the relevant authorisation has been issued.

Dual licensing can affect the Pajak badan treatment of a free zone company.

A free zone entity is not automatically exempt from Pajak badan. A company seeking the zero-percent rate available to a Qualifying Free Zone Person must satisfy all applicable conditions, including requirements relating to qualifying income, adequate substance, transfer pricing, audited financial statements and the de minimis limit for non-qualifying revenue.

Income attributable to a mainland or domestic permanent establishment may not receive the same treatment as qualifying free zone income. The structure of the mainland operation, personnel, premises, contracts and revenue-generating functions should therefore be reviewed before the company applies for a permit or branch lisensi.

Dubai's 2025 Resolution expressly requires separate financial records for activities conducted outside the free zone and within Dubai. This distinction supports regulatory and tax transparency, but accounting separation alone does not determine whether income qualifies for a particular Pajak badan rate.

The company should assess:

A licensing decision should not be made without considering its tax consequences.

Free zone companies are subject to the UEA PPN (VAT) legislation. Merely operating in a free zone does not create a general PPN (VAT) exemption.

A business must generally register for PPN (VAT) when its taxable supplies and imports exceed the mandatory threshold of AED 375,000. Voluntary registration may be available when taxable supplies, imports or qualifying expenses exceed AED 187,500.

PPN (VAT) treatment depends on:

The movement of goods from a PPN (VAT) Designated Zone into mainland UEA is generally treated as an import. Import PPN (VAT) may therefore become payable by the importer, followed by the PPN (VAT) treatment applicable to any subsequent mainland sale.

A Dubai free zone establishment authorised to operate in mainland Dubai must maintain separate financial records for the activities it conducts outside the free zone.

The company should establish accounting controls that identify:

Contracts and invoices should identify the correct entity and authorisation. Using inconsistent trade names, lisensi details or tax-registration information can create problems during audits, customer onboarding and payment processing.

A mainland permit or branch lisensi may strengthen the commercial documentation available to a free zone company, but it does not guarantee bank-account approval.

The bank may request:

If a separate branch account or merchant facility is required, the bank will determine whether it can be opened under the existing legal entity and customer profile.

Does the Mainland Branch Have Separate Legal Personality?

Under Dubai's 2025 Resolution, a branch licensed within mainland Dubai or a branch operating from the free zone does not have a separate legal personality and is not considered independent of its parent company.

The free zone company remains responsible for the branch's contracts, liabilities and regulatory obligations. This differs from forming a separate mainland subsidiary, which has its own legal personality.

The absence of separate legal personality can simplify ownership but also means that liabilities arising from branch operations may affect the parent company directly.

A separate mainland company may be preferable when:

The least expensive structure at the beginning is not always the most efficient long-term structure.

A goods-trading free zone company may sometimes access the local market through a licensed mainland distributor rather than obtaining its own mainland authorisation.

A distributor arrangement may be suitable where:

Direct mainland authorisation may provide greater control over customers, pricing and operations. However, it also creates additional licensing, customs, tax and kepatuhan responsibilities.

The commercial agreement should clearly define responsibility for importation, customs duties, PPN (VAT), product registration, returns, warranties and consumer complaints.

A dual-licensed company must maintain both sides of its regulatory structure.

Typical continuing obligations include:

A temporary permit should not be allowed to expire while the company continues mainland operations. Operating outside the authorised period or activity scope may expose the business to penalties and contractual risk.

A free zone lisensi alone does not automatically authorise every mainland activity. The company should confirm the legal route before beginning local operations.

  • For Dubai, Executive Council Resolution No. 11 of 2025 prescribes:
  • AED 5,000 for issuing or renewing a temporary activity permit
  • Free zone authority approval or NOC
  • Activity amendment fees
  • External regulatory approval
  • Document certification or legal translation
  • Mainland premises
  • Ejari
  • Municipality and Civil Defence approvals
  • Product registration
  • Customs registration
  • Immigration or employee approvals
  • Professional assistance
  • Annual renewal and kepatuhan expenses
  • There is no universal processing period.
  • The applicant's free zone
  • The selected licensing route
  • Activity eligibility
  • Free zone approval
  • Persetujuan regulator eksternal
  • Completeness of documents
  • Whether lisensi amendments are necessary
  • Premises and inspection requirements
  • Information requested by DET or another authority
  • Pajak badan Implications
  • Whether it is a Qualifying Free Zone Person
  • Whether the mainland operation creates a domestic permanent establishment
  • How income and expenses must be attributed
  • Whether transactions fall within qualifying or non-qualifying income
  • Whether transfer-pricing rules apply
  • Whether the de minimis threshold is affected
  • Whether audited financial statements are required
  • How mainland revenue should be reflected in the Pajak badan return
  • PPN (VAT) Implications
  • The nature of the supply
  • The customer's location and status
  • Where goods are located
  • Whether goods are imported
  • Whether the free zone is a PPN (VAT) Designated Zone
  • Who acts as importer of record
  • Whether the company is PPN (VAT)-registered
  • Whether the supply is standard-rated, zero-rated or exempt
  • Separate Accounting Records
  • Mainland sales
  • Free zone sales
  • Direct mainland expenses
  • Shared expenses
  • Employee costs
  • Inventory movements
  • Customs charges
  • Input and output PPN (VAT)
  • Inter-branch transactions
  • Assets used by the mainland operation
  • Revenue attributable to the branch or permit
  • Banking Considerations
  • Free zone and mainland licences
  • Dokumen konstitusional
  • Business plan
  • Shareholder and manager identification
  • Proof of address
  • Existing contracts
  • Expected turnover
  • Source of funds
  • Customer and supplier information
  • Tax registration
  • Financial statements
  • Explanation of mainland operations
  • Evidence of office or operational substance
  • Generally, no.
  • Dual Lisensi Versus a Separate Mainland Company
  • A dual lisensi or permit may be appropriate when:
  • The mainland activities closely match the free zone lisensi
  • The company wants to retain one legal entity
  • Operations are limited or being tested
  • A second shareholder structure is unnecessary
  • The company does not require an independent mainland business
  • The available activity list covers the intended work
  • Mainland operations will become the primary business
  • A different ownership structure is needed
  • The business requires extensive mainland premises
  • Activities are not eligible for the permit
  • Separate liability protection is commercially important
  • The company expects significant mainland employment
  • Investors want separate financial statements
  • A regulated sector requires an independent establishment
  • The business will operate across multiple emirates
  • Dual Lisensi Versus a Mainland Distributor
  • The distributor imports or clears the products
  • The distributor stores and delivers the goods
  • The distributor maintains retailer relationships
  • The free zone company does not need its own mainland premises
  • The product requires local registration managed by the distributor
  • Renewals and Continuing Kepatuhan
  • Renewing the free zone lisensi
  • Renewing the mainland permit or branch lisensi
  • Maintaining free zone authority approval
  • Keeping authorised activities aligned
  • Renewing premises documents where applicable
  • Maintaining external approvals
  • Updating beneficial-ownership information
  • Maintaining accounting records
  • Filing Pajak badan returns
  • Filing PPN (VAT) returns where registered
  • Renewing customs registration where required
  • Complying with inspection requests
  • Updating manager or shareholder information
  • Maintaining employee and immigration records
  • Common Risks and Challenges
  • Assuming the Free Zone Lisensi Is Sufficient

Choosing the Wrong Authorisation

A temporary permit may be insufficient for a permanent shop or facility. Conversely, a full mainland branch may be unnecessarily costly for a limited project.

The activity on the mainland application must correspond with the company's existing free zone activities and the authority's eligible list.

A general permit does not replace approvals required for healthcare, engineering, education, food, financial services or another regulated field.

Dubai's framework requires separate records for mainland activities. Inadequate accounting can create licensing and Pajak badan complications.

An authorisation to operate within Dubai does not automatically grant operating rights in every other emirate.

A business permit does not replace customs declarations, product registration, conformity assessment or import approval.

Temporary permits and branch licences have defined validity periods. Renewal planning should begin before expiry.

A Dubai free zone technology consultancy wants its employees to work periodically at customer offices. If its activity is eligible, a temporary mainland operating permit may provide an efficient route without requiring a second permanent office.

If the company expects continuous mainland work and recurring tenders, a branch lisensi operating from the free zone may offer greater continuity than repeated temporary permits.

A free zone company planning a permanent retail outlet is likely to require a branch or another mainland structure with approved premises. A temporary professional-services permit may not meet the operational requirements.

The company must assess its mainland trading authority, customs registration, importer-of-record arrangement, product approvals, PPN (VAT) treatment and logistics. A permit alone does not complete the import and distribution framework.

A Dubai free zone company that wants permanent operations in Abu Dhabi must check the licensing requirements of Abu Dhabi's competent authority. Its Dubai permit cannot simply be extended across the UEA.

  • Activity Mismatch
  • Ignoring Regulatory Approval

  • 3. Pertanyaan yang sering diajukan

1. Can any UEA free zone company obtain a mainland permit?

No. Eligibility depends on the emirate, free zone, legal form, business activity and applicable mainland-licensing programme. Approval from the free zone authority and the mainland authority may be required.

2. Can a Dubai free zone company operate in mainland Dubai?

Yes, an eligible company may apply for a mainland branch lisensi or temporary permit under Dubai's applicable framework. It cannot assume that its original free zone lisensi alone is sufficient.

3. What is Dubai's Free Zone Mainland Operating Permit?

It is a mainland-access framework that allows eligible Dubai free zone companies holding a Dubai Unified Lisensi to apply to perform approved activities in mainland Dubai.

4. How long is the Dubai temporary permit valid?

Executive Council Resolution No. 11 of 2025 allows DET to issue a temporary permit valid for no more than six months. It may be renewable subject to the prevailing conditions.

5. How much does the temporary permit cost?

The Resolution prescribes AED 5,000 for issuing or renewing the temporary permit. Free zone approvals, activity amendments, regulatory approvals and professional services may cost extra.

6. How much does a branch operating from the free zone cost?

The prescribed DET fee is AED 10,000 per year for issuing or renewing this branch lisensi. Additional government, free zone and kepatuhan costs may apply.

7. Does the company need an office in mainland Dubai?

Not always. A branch operating from the free zone may use the existing free zone location where permitted. A conventional mainland branch or premises-based activity may require a mainland office, shop or facility.

8. Is a free zone authority NOC required?

The Dubai Resolution requires approval from the relevant free zone licensing authority. The authority may issue an NOC or another form of approval according to its procedures.

9. Can a free zone company use its existing employees in mainland Dubai?

Dubai's 2025 Resolution permits an authorised establishment to engage its existing workforce registered through the free zone portal. Other employment, professional and site-specific rules still apply.

10. Can the company trade products directly in the mainland?

Potentially, if the trading activity is eligible and included in the permit or lisensi. The company may additionally need customs registration, product approvals, import documentation and PPN (VAT) kepatuhan.

11. Does a mainland permit cover every UEA emirate?

No. A Dubai authorisation applies within Dubai. Activities conducted in another emirate may require approval from that emirate's competent authority.

12. Is dual licensing available in Abu Dhabi?

Yes. ADDED officially offers a Dual Lisensi for eligible establishments registered in Abu Dhabi free zones that want to conduct approved activities outside their free zones.

13. Can a dual-licensed company bid for government contracts?

A suitable mainland authorisation may allow participation in eligible tenders, but each government entity maintains its own supplier-registration and procurement requirements. Contract awards are not guaranteed.

14. Will mainland activity affect the zero-percent free zone Pajak badan rate?

It may. Income attributable to mainland operations may not qualify for the zero-percent treatment available to a Qualifying Free Zone Person. The effect depends on the structure, activity, income and kepatuhan with Pajak badan conditions.

15. Must the company keep separate accounts?

Dubai's Resolution requires separate financial records for activities conducted outside the free zone and within Dubai. The company should be able to distinguish mainland revenue, costs, assets and tax treatment.

16. Does dual licensing create a separate legal entity?

A Dubai branch licensed under the 2025 Resolution does not have a legal personality independent of its free zone parent. A separately incorporated mainland subsidiary would be a distinct entity.

17. Can regulated businesses obtain a temporary mainland permit?

Regulated activities may be excluded from a simplified permit or may require approval from the relevant sector regulator. Eligibility must be checked for the exact activity.

18. Can a free zone company open a mainland retail outlet using the permit?

Only if the chosen route, approved activity and premises satisfy all applicable licensing conditions. A permanent retail outlet may require a mainland branch, approved tenancy and additional municipal or sector approvals.

19. Is a mainland permit better than using a distributor?

It depends on the business model. A permit offers more direct operational control, while a distributor may handle importation, logistics and local sales. Costs, responsibilities and customer ownership should be compared carefully.

20. What happens if the free zone lisensi expires?

The mainland authorisation normally depends on the underlying free zone lisensi remaining valid. Failure to renew the free zone lisensi can affect the company's continued eligibility to conduct mainland activities.
